be granted all powers necessary or appropriate to carry out and to effectuate its purposes, including the following to:\n\n1\n\nHave perpetual succession as a public body corporate and as a political subdivision of the Commonwealth;2\n\nAdopt, amend, and repeal bylaws, rules, and regulations, not inconsistent with this article for the administration and regulation of its affairs, to carry into effect the powers and purposes of the Authority and the conduct of its business;3\n\nSue and be sued in its own name;4\n\nHave an official seal and alter it at will although the failure to affix this seal shall not affect the validity of any instrument executed on behalf of the Authority;5\n\nMaintain an office at any place within or without the Commonwealth that it designates;6\n\nMake and execute contracts and all other instruments and agreements necessary or convenient for the performance of its duties and the exercise of its powers and functions under this article;7\n\nAcquire real or personal property, or any interest therein, by purchase, exchange, gift, assignment, transfer, foreclosure, lease, or otherwise, including rights or easements, and hold, manage, operate, or improve such property;8\n\nSell, convey, mortgage, pledge, lease, exchange, transfer, and otherwise dispose of all or any part of its properties and assets;9\n\nEmploy officers, employees, agents, advisers, and consultants, including without limitation, financial advisers and other technical advisers and public accountants and, the provisions of any other law to the contrary notwithstanding, to determine their duties and compensation without the approval of any other agency or instrumentality;10\n\nProcure insurance, in amounts and from insurers of its choice, or provide self-insurance, against any loss, cost, or expense in connection with its property, assets, or activities, including insurance or self-insurance against liability for its acts or the acts of its directors, employees, or agents and for the indemnification of the members of its Board and its employees and agents;11\n\nReceive and accept from any source aid, grants, and contributions of money, property, labor, or other things of value to be held, used, and applied to carry out the purposes of this article subject to the conditions upon which the aid, grants, or contributions are made;12\n\nEnter into agreements with any department, agency, or instrumentality of the United States, the Commonwealth, the District of Columbia, or any state for purposes consistent with its mission;13\n\nEstablish and revise, amend and repeal, and charge and collect, fees and charges in connection with any activities or services of the Authority;14\n\nMake grants to local governments with any funds of the Authority available for this purpose;15\n\nDevelop policies and procedures generally applicable to the procurement of goods, services, and construction based on competitive principles;16\n\nIssue periodicals and carry and charge for advertising therein;17\n\nRaise money in the corporate, nonprofit, and nonstate communities to finance the Authority&#8217;s activities;18\n\nSupport and encourage each locality to foster its own tourism development programs;19\n\nEnter into agreements with public or private entities that provide participating funding to establish and operate tourism centers, funded jointly by the entity and the Authority, as shall be determined by the Executive Director, and as approved by the Authority;20\n\nEncourage, stimulate, and support tourism in the Commonwealth by promoting, marketing, and advertising the Commonwealth&#8217;s many tourist attractions and locations;21\n\nEncourage, stimulate, and support the film industry in the Commonwealth;22\n\nDo all things necessary or proper to administer and manage the Cooperative Tourism Advertising Fund and the Governor&#8217;s Motion Picture Opportunity Fund;23\n\nUpdate a travel guide for the disabled in the first year of every biennium beginning in fiscal year 2003;24\n\nDevelop a comprehensive plan to promote destinations of historical and other significance located throughout the Commonwealth in anticipation of the 400th anniversary of the Jamestown settlement;25\n\nIn consultation with the Library of Virginia, the Virginia African American Advisory Board, established pursuant to &#xA7; 2.2-2491, and other subject matter experts as deemed appropriate by the Authority, create guidelines for the Authority&#8217;s publications and advertising materials to ensure the accurate representation in such publications and advertising materials of the experiences of enslaved persons at and the contributions of enslaved persons to properties in the Commonwealth with a historic link to slave ownership; and26\n\nDo any act necessary or convenient to the exercise of the powers granted or reasonably implied by this article and not otherwise inconsistent with state <a id=\"paragraph-275307\" class=\"section-permalink\" href=\"https:\/\/vacode.org\/2.2-2318\/#4\"><i class=\"fa fa-link\"><\/i><\/a><\/p><\/section>\n\t\t\t\t\t\t<section id=\"5\"><p><span class=\"prefix-number\">5.<\/span> Maintain an office at any place within or without the <span class=\"dictionary\">Commonwealth<\/span> that it designates; <a id=\"paragraph-275308\" class=\"section-permalink\" href=\"https:\/\/vacode.org\/2.2-2318\/#5\"><i class=\"fa fa-link\"><\/i><\/a><\/p><\/section>\n\t\t\t\t\t\t<section id=\"6\"><p><span class=\"prefix-number\">6.<\/span> Make and execute <span class=\"dictionary\">contracts<\/span> and all other instruments and agreements necessary or convenient for the performance of its duties and the exercise of its powers and functions under this article; <a id=\"paragraph-275309\" class=\"section-permalink\" href=\"https:\/\/vacode.org\/2.2-2318\/#6\"><i class=\"fa fa-link\"><\/i><\/a><\/p><\/section>\n\t\t\t\t\t\t<section id=\"7\"><p><span class=\"prefix-number\">7.<\/span> Acquire real or personal property, or any interest therein, by purchase, exchange, gift, assignment, transfer, foreclosure, lease, or otherwise, including rights or easements, and hold, manage, operate, or improve such property; <a id=\"paragraph-275310\" class=\"section-permalink\" href=\"https:\/\/vacode.org\/2.2-2318\/#7\"><i class=\"fa fa-link\"><\/i><\/a><\/p><\/section>\n\t\t\t\t\t\t<section id=\"8\"><p><span class=\"prefix-number\">8.<\/span> Sell, convey, mortgage, pledge, lease, exchange, transfer, and otherwise dispose of all or any part of its properties and <span class=\"dictionary\">assets<\/span>; <a id=\"paragraph-275311\" class=\"section-permalink\" href=\"https:\/\/vacode.org\/2.2-2318\/#8\"><i class=\"fa fa-link\"><\/i><\/a><\/p><\/section>\n\t\t\t\t\t\t<section id=\"9\"><p><span class=\"prefix-number\">9.<\/span> Employ officers, employees, agents, advisers, and consultants, including without limitation, financial advisers and other technical advisers and public accountants and, the provisions of any other <span class=\"dictionary\">law<\/span> to the contrary notwithstanding, to determine their duties and compensation without the approval of any other agency or instrumentality; <a id=\"paragraph-275312\" class=\"section-permalink\" href=\"https:\/\/vacode.org\/2.2-2318\/#9\"><i class=\"fa fa-link\"><\/i><\/a><\/p><\/section>\n\t\t\t\t\t\t<section id=\"10\"><p><span class=\"prefix-number\">10.<\/span> Procure insurance, in amounts and from insurers of its choice, or provide self-insurance, against any loss, cost, or expense in connection with its property, <span class=\"dictionary\">assets<\/span>, or activities, including insurance or self-insurance against liability for its acts or the acts of its directors, employees, or agents and for the indemnification of the members of its <span class=\"dictionary\">Board<\/span> and its employees and agents; <a id=\"paragraph-275313\" class=\"section-permalink\" href=\"https:\/\/vacode.org\/2.2-2318\/#10\"><i class=\"fa fa-link\"><\/i><\/a><\/p><\/section>\n\t\t\t\t\t\t<section id=\"11\"><p><span class=\"prefix-number\">11.<\/span> Receive and accept from any source aid, grants, and contributions of money, property, labor, or other things of value to be held, used, and applied to carry out the purposes of this article subject to the conditions upon which the aid, grants, or contributions are made; <a id=\"paragraph-275314\" class=\"section-permalink\" href=\"https:\/\/vacode.org\/2.2-2318\/#11\"><i class=\"fa fa-link\"><\/i><\/a><\/p><\/section>\n\t\t\t\t\t\t<section id=\"12\"><p><span class=\"prefix-number\">12.<\/span> Enter into agreements with any department, agency, or instrumentality of the United <span class=\"dictionary\">States<\/span>, the <span class=\"dictionary\">Commonwealth<\/span>, the District of Columbia, or any <span class=\"dictionary\">state<\/span> for purposes consistent with its mission; <a id=\"paragraph-275315\" class=\"section-permalink\" href=\"https:\/\/vacode.org\/2.2-2318\/#12\"><i class=\"fa fa-link\"><\/i><\/a><\/p><\/section>\n\t\t\t\t\t\t<section id=\"13\"><p><span class=\"prefix-number\">13.<\/span> Establish and revise, <span class=\"dictionary\">amend<\/span> and repeal, and charge and collect, fees and charges in connection with any activities or services of the <span class=\"dictionary\">Authority<\/span>; <a id=\"paragraph-275316\" class=\"section-permalink\" href=\"https:\/\/vacode.org\/2.2-2318\/#13\"><i class=\"fa fa-link\"><\/i><\/a><\/p><\/section>\n\t\t\t\t\t\t<section id=\"14\"><p><span class=\"prefix-number\">14.<\/span> Make grants to local governments with any funds of the <span class=\"dictionary\">Authority<\/span> available for this purpose; <a id=\"paragraph-275317\" class=\"section-permalink\" href=\"https:\/\/vacode.org\/2.2-2318\/#14\"><i class=\"fa fa-link\"><\/i><\/a><\/p><\/section>\n\t\t\t\t\t\t<section id=\"15\"><p><span class=\"prefix-number\">15.<\/span> Develop policies and procedures generally applicable to the procurement of goods, services, and construction based on competitive principles; <a id=\"paragraph-275318\" class=\"section-permalink\" href=\"https:\/\/vacode.org\/2.2-2318\/#15\"><i class=\"fa fa-link\"><\/i><\/a><\/p><\/section>\n\t\t\t\t\t\t<section id=\"16\"><p><span class=\"prefix-number\">16.<\/span> <span class=\"dictionary\">Issue<\/span> periodicals and carry and charge for advertising therein; <a id=\"paragraph-275319\" class=\"section-permalink\" href=\"https:\/\/vacode.org\/2.2-2318\/#16\"><i class=\"fa fa-link\"><\/i><\/a><\/p><\/section>\n\t\t\t\t\t\t<section id=\"17\"><p><span class=\"prefix-number\">17.<\/span> Raise money in the corporate, nonprofit, and nonstate communities to finance the <span class=\"dictionary\">Authority<\/span>&#8217;s activities; <a id=\"paragraph-275320\" class=\"section-permalink\" href=\"https:\/\/vacode.org\/2.2-2318\/#17\"><i class=\"fa fa-link\"><\/i><\/a><\/p><\/section>\n\t\t\t\t\t\t<section id=\"18\"><p><span class=\"prefix-number\">18.<\/span> Support and encourage each locality to foster its own tourism development programs; <a id=\"paragraph-275321\" class=\"section-permalink\" href=\"https:\/\/vacode.org\/2.2-2318\/#18\"><i class=\"fa fa-link\"><\/i><\/a><\/p><\/section>\n\t\t\t\t\t\t<section id=\"19\"><p><span class=\"prefix-number\">19.<\/span> Enter into agreements with public or private entities that provide participating funding to establish and operate tourism centers, funded jointly by the entity and the <span class=\"dictionary\">Authority<\/span>, as shall be determined by the Executive Director, and as approved by the <span class=\"dictionary\">Authority<\/span>; <a id=\"paragraph-275322\" class=\"section-permalink\" href=\"https:\/\/vacode.org\/2.2-2318\/#19\"><i class=\"fa fa-link\"><\/i><\/a><\/p><\/section>\n\t\t\t\t\t\t<section id=\"20\"><p><span class=\"prefix-number\">20.<\/span> Encourage, stimulate, and support tourism in the <span class=\"dictionary\">Commonwealth<\/span> by promoting, marketing, and advertising the <span class=\"dictionary\">Commonwealth<\/span>&#8217;s many tourist attractions and locations; <a id=\"paragraph-275323\" class=\"section-permalink\" href=\"https:\/\/vacode.org\/2.2-2318\/#20\"><i class=\"fa fa-link\"><\/i><\/a><\/p><\/section>\n\t\t\t\t\t\t<section id=\"21\"><p><span class=\"prefix-number\">21.<\/span> Encourage, stimulate, and support the film industry in the <span class=\"dictionary\">Commonwealth<\/span>; <a id=\"paragraph-275324\" class=\"section-permalink\" href=\"https:\/\/vacode.org\/2.2-2318\/#21\"><i class=\"fa fa-link\"><\/i><\/a><\/p><\/section>\n\t\t\t\t\t\t<section id=\"22\"><p><span class=\"prefix-number\">22.<\/span> Do all things necessary or proper to administer and manage the Cooperative Tourism Advertising Fund and the Governor&#8217;s <span class=\"dictionary\">Motion<\/span> Picture Opportunity Fund; <a id=\"paragraph-275325\" class=\"section-permalink\" href=\"https:\/\/vacode.org\/2.2-2318\/#22\"><i class=\"fa fa-link\"><\/i><\/a><\/p><\/section>\n\t\t\t\t\t\t<section id=\"23\"><p><span class=\"prefix-number\">23.<\/span> Update a travel guide for the disabled in the first year of every biennium beginning in fiscal year 2003; <a id=\"paragraph-275326\" class=\"section-permalink\" href=\"https:\/\/vacode.org\/2.2-2318\/#23\"><i class=\"fa fa-link\"><\/i><\/a><\/p><\/section>\n\t\t\t\t\t\t<section id=\"24\"><p><span class=\"prefix-number\">24.<\/span> Develop a comprehensive plan to promote destinations of historical and other significance located throughout the <span class=\"dictionary\">Commonwealth<\/span> in anticipation of the 400th anniversary of the Jamestown <span class=\"dictionary\">settlement<\/span>; <a id=\"paragraph-275327\" class=\"section-permalink\" href=\"https:\/\/vacode.org\/2.2-2318\/#24\"><i class=\"fa fa-link\"><\/i><\/a><\/p><\/section>\n\t\t\t\t\t\t<section id=\"25\"><p><span class=\"prefix-number\">25.<\/span> In consultation with the Library of Virginia, the Virginia African American Advisory <span class=\"dictionary\">Board<\/span>, established pursuant to &#xA7; <a class=\"law\" title=\"The Virginia African American Advisory Board\" href=\"\/2.2-2491\/\">2.2-2491<\/a>, and other subject matter experts as deemed appropriate by the <span class=\"dictionary\">Authority<\/span>, create guidelines for the <span class=\"dictionary\">Authority<\/span>&#8217;s publications and advertising <span class=\"dictionary\">materials<\/span> to ensure the accurate representation in such publications and advertising <span class=\"dictionary\">materials<\/span> of the experiences of enslaved persons at and the contributions of enslaved persons to properties in the <span class=\"dictionary\">Commonwealth<\/span> with a historic link to slave ownership; and <a id=\"paragraph-275328\" class=\"section-permalink\" href=\"https:\/\/vacode.org\/2.2-2318\/#25\"><i class=\"fa fa-link\"><\/i><\/a><\/p><\/section>\n\t\t\t\t\t\t<section id=\"26\"><p><span class=\"prefix-number\">26.<\/span> Do any act necessary or convenient to the exercise of the powers granted or reasonably implied by this article and not otherwise inconsistent with <span class=\"dictionary\">state<\/span> <span class=\"dictionary\">law<\/span>. <a id=\"paragraph-275329\" class=\"section-permalink\" href=\"https:\/\/vacode.org\/2.2-2318\/#26\"><i class=\"fa fa-link\"><\/i><\/a><\/p><\/section>","plain_text":"                                 CODE OF VIRGINIA\n\nPOWERS OF AUTHORITY (\u00a7 2.2-2318)\n\nThe Authority, acting through the Executive Director, shall be granted all\npowers necessary or appropriate to carry out and to effectuate its purposes,\nincluding the following to:\n\n1.
