I, c. 447; 2023, c. 536.","full_text":"A\n\nFor purposes of this section, &#8220;intellectual property&#8221; means (i) a potentially patentable machine, article of manufacture, composition of matter, process, or improvement in any of those; (ii) an issued patent; (iii) a legal right that inheres in a patent; or (iv) anything that is copyrightable.B\n\nThe governing board of each public institution of higher education shall:1\n\nAdopt and post conspicuously on its website bylaws for its own governance, including provisions that (i) establish the requirement of transparency, to the extent required by law, in all board actions; (ii) describe the board&#8217;s obligations under the Virginia Freedom of Information Act (&#xA7; 2.2-3700 et seq.), as set forth in subdivision B 10 of &#xA7; 23.1-1301, including the requirements that (a) the board record minutes of each open meeting and post the minutes on the board&#8217;s website, in accordance with subsection I of &#xA7; 2.2-3707 and &#xA7; 2.2-3707.1, (b) discussions and actions on any topic not specifically exempted by &#xA7; 2.2-3711 be held in an open meeting, (c) the board give public notice of all meetings, in accordance with subsection D of &#xA7; 2.2-3707, and (d) any action taken in a closed meeting be approved in an open meeting before it can have any force or effect, in accordance with subsection B of &#xA7; 2.2-3711; and (iii) require that the board invite the Attorney General&#8217;s appointee or representative to all meetings of the board, executive committee, and board committees;2\n\nEstablish and maintain on the institution&#8217;s website (i) a listing of all board members, including the name of the Governor who made each appointment and the date of each appointment; (ii) a listing of all committees created by the board and the membership of each committee; (iii) a schedule of all upcoming meetings of the full board and its committees and instructions for the public to access such meetings; (iv) an archive of agendas and supporting materials for each meeting of the governing board and its committees that was held; and (v) an email address or email addresses that allow board members to receive public communications pertaining to board business;3\n\nEstablish regulations or institution policies for the acceptance and assistance of students that include provisions (i) that specify that individuals who have knowingly and willfully failed to meet the federal requirement to register for the selective service are not eligible to receive any state direct student assistance, (ii) that specify that the accreditation status of a public high school in the Commonwealth shall not be considered in making admissions determinations for students who have earned a diploma pursuant to the requirements established by the Board of Education, and (iii) relating to the admission of certain graduates of comprehensive community colleges as set forth in &#xA7; 23.1-907;4\n\nAssist the Council in enforcing the provisions relating to eligibility for financial aid;5\n\nNotwithstanding any other provision of state law, establish policies and procedures requiring the notification of the parent of a dependent student when such student receives mental health treatment at the institution&#8217;s student health or counseling center and such treatment becomes part of the student&#8217;s educational record in accordance with the federal Health Insurance Portability and Accountability Act (42 U.S.C. &#xA7; 1320d et seq.) and may be disclosed without prior consent as authorized by the federal Family Educational Rights and Privacy Act (20 U.S.C. &#xA7; 1232g) and related regulations (34 C.F.R. Part 99). Such notification shall only be required if it is determined that there exists a substantial likelihood that, as a result of mental illness the student will, in the near future, (i) cause serious physical harm to himself or others as evidenced by recent behavior or any other relevant information or (ii) suffer serious harm due to his lack of capacity to protect himself from harm or to provide for his basic human needs. However, notification may be withheld if any person licensed to diagnose and treat mental, emotional, or behavioral disorders by a health regulatory board within the Department of Health Professions who is treating the student has made a part of the student&#8217;s record a written statement that, in the exercise of his professional judgment, the notification would be reasonably likely to cause substantial harm to the student or another person. No public institution of higher education or employee of a public institution of higher education making a disclosure pursuant to this subsection is civilly liable for any harm resulting from such disclosure unless such disclosure constitutes gross negligence or willful misconduct by the institution or its employees;6\n\nEstablish policies and procedures requiring the release of the educational record of a dependent student, as defined by the federal Family Educational Rights and Privacy Act (20 U.S.C. &#xA7; 1232g), to a parent at his request;7\n\nEstablish programs to seek to ensure that all graduates have the technology skills necessary to compete in the twenty-first century and that all students matriculating in teacher-training programs receive instruction in the effective use of educational technology;8\n\nEstablish policies for the discipline of students who participate in varsity intercollegiate athletics, including a provision requiring an annual report by the administration of the institution to the governing board regarding enforcement actions taken pursuant to such policies;9\n\nIn addition to all meetings prescribed in Chapters 14 (&#xA7; 23.1-1400 et seq.) through 29 (&#xA7; 23.1-2900 et seq.), meet with the chief executive officer of the institution at least once annually, in a closed meeting pursuant to subdivision A 1 of &#xA7; 2.2-3711 and deliver an evaluation of the chief executive officer&#8217;s performance. Any change to the chief executive officer&#8217;s employment contract during any such meeting or any other meeting of the board shall be made only by a vote of the majority of the board&#8217;s members;10\n\nIf human research, as defined in &#xA7; 32.1-162.16, is conducted at the institution, adopt regulations pursuant to the Administrative Process Act (&#xA7; 2.2-4000 et seq.) to effectuate the provisions of Chapter 5.1 (&#xA7; 32.1-162.16 et seq.) of Title 32.1 for human research. Such regulations shall require the human research committee to submit to the Governor, the General Assembly, and the chief executive officer of the institution or his designee at least annually a report on the human research projects reviewed and approved by the committee and require the committee to report any significant deviations from approved proposals;11\n\nSubmit and make publicly available on the institution&#8217;s website the annual financial statements for the fiscal year ending the preceding June 30 and the accounts and status of any ongoing capital projects to the Auditor of Public Accounts for the audit of such statements pursuant to &#xA7; 30-133;12\n\nNo later than December 1 of each year, report to the Council and make publicly available on the institution&#8217;s website (i) the value of investments as reflected on the Statement of Net Position as of June 30 of the previous fiscal year, excluding any funds derived from endowment donations, endowment income, or other private philanthropy; (ii) the cash earnings on such balances in the previous fiscal year; and (iii) the use of the cash earnings on such balances. In the event that the commitment of any such investment earnings spans more than one fiscal year, the report shall reflect the commitments made in each future fiscal year. The reports of the Boards of Visitors of Virginia Commonwealth University and the University of Virginia shall exclude the value of and earnings on any investments held by the Virginia Commonwealth University Health System Authority and the University of Virginia Medical Center, respectively. As used in this subdivision, &#8220;investments&#8221; includes all short-term, long-term, liquid, and illiquid Statement of Net Position accounts, and subaccounts thereof, in which moneys have been invested in securities;13\n\nSubmit to the General Assembly and the Governor and make publicly available on the institution&#8217;s website an annual executive summary of its interim activity and work no later than the first day of each regular session of the General Assembly. The executive summary shall be submitted as provided in the procedures of the Division of Legislative Automated Systems for the processing of legislative documents and reports and shall be posted on the General Assembly&#8217;s website;14\n\nMake available to any interested party upon request a copy of the portion of the most recent report of the Uniform Crime Reporting Section of the Department of State Police entitled &#8220;Crime in Virginia&#8221; pertaining to institutions of higher education;15\n\nAdopt policies or institution regulations regarding the ownership, protection, assignment, and use of intellectual property and provide a copy of such policies or institution regulations to the Governor and the Joint Commission on Technology and Science. All employees, including student employees, of public institutions of higher education are bound by the intellectual property policies or institution regulations of the institution employing them;16\n\nAdopt policies that are supportive of the intellectual property rights of matriculated students who are not employed by such institution; and17\n\nSolicit the input of representatives of the institution&#8217;s faculty senate or its equivalent (i) at least twice per academic year on topics of general interest to the faculty and (ii) in advance of decisions to be made on the search for the institution&#8217;s new chief executive officer.","order_by":null,"text":{"0":{"id":285654,"text":"For purposes of this section, &#8220;intellectual property&#8221; means (i) a potentially patentable machine, article of manufacture, composition of matter, process, or improvement in any of those; (ii) an issued patent; (iii) a legal right that inheres in a patent; or (iv) anything that is copyrightable. <a id=\"paragraph-285654\" class=\"section-permalink\" href=\"https:\/\/vacode.org\/23.1-1303\/#A\"><i class=\"fa fa-link\"><\/i><\/a><\/p><\/section>\n\t\t\t\t\t\t<section id=\"B\"><p><span class=\"prefix-number\">B.<\/span> The <span class=\"dictionary\">governing board<\/span> of each <span class=\"dictionary\">public institution of higher education<\/span> shall: <a id=\"paragraph-285655\" class=\"section-permalink\" href=\"https:\/\/vacode.org\/23.1-1303\/#B\"><i class=\"fa fa-link\"><\/i><\/a><\/p><\/section>\n\t\t\t\t\t\t<section id=\"B1\" class=\"indent-1\"><p><span class=\"prefix-number\">1.<\/span> Adopt and post conspicuously on its website bylaws for its own governance, including provisions that (i) establish the requirement of transparency, to the extent required by <span class=\"dictionary\">law<\/span>, in all board actions; (ii) describe the board&#8217;s obligations under the Virginia Freedom of Information Act (&#xA7; <a class=\"law\" title=\"Short title; policy\" href=\"\/2.2-3700\/\">2.2-3700<\/a> et seq.), as set forth in subdivision B 10 of &#xA7; <a class=\"law\" title=\"Governing boards; powers\" href=\"\/23.1-1301\/\">23.1-1301<\/a>, including the requirements that (a) the board record minutes of each open meeting and post the minutes on the board&#8217;s website, in accordance with subsection I of &#xA7; <a class=\"law\" title=\"Meetings to be public; notice of meetings; recordings; minutes\" href=\"\/2.2-3707\/\">2.2-3707<\/a> and &#xA7; <a class=\"law\" title=\"Posting of minutes for state boards and commissions\" href=\"\/2.2-3707.1\/\">2.2-3707.1<\/a>, (b) discussions and actions on any topic not specifically exempted by &#xA7; <a class=\"law\" title=\"(Effective July 1, 2026) Closed meetings authorized for certain limited purposes\" href=\"\/2.2-3711\/\">2.2-3711<\/a> be held in an open meeting, (c) the board give public notice of all meetings, in accordance with subsection D of &#xA7; <a class=\"law\" title=\"Meetings to be public; notice of meetings; recordings; minutes\" href=\"\/2.2-3707\/\">2.2-3707<\/a>, and (d) any action taken in a closed meeting be approved in an open meeting before it can have any force or effect, in accordance with subsection B of &#xA7; <a class=\"law\" title=\"(Effective July 1, 2026) Closed meetings authorized for certain limited purposes\" href=\"\/2.2-3711\/\">2.2-3711<\/a>; and (iii) require that the board invite the <span class=\"dictionary\">Attorney General<\/span>&#8217;s appointee or representative to all meetings of the board, executive committee, and board committees; <a id=\"paragraph-285656\" class=\"section-permalink\" href=\"https:\/\/vacode.org\/23.1-1303\/#B1\"><i class=\"fa fa-link\"><\/i><\/a><\/p><\/section>\n\t\t\t\t\t\t<section id=\"B2\" class=\"indent-1\"><p><span class=\"prefix-number\">2.<\/span> Establish and maintain on the institution&#8217;s website (i) a listing of all board members, including the name of the Governor who made each appointment and the date of each appointment; (ii) a listing of all committees created by the board and the membership of each committee; (iii) a schedule of all upcoming meetings of the full board and its committees and instructions for the public to access such meetings; (iv) an archive of agendas and supporting <span class=\"dictionary\">materials<\/span> for each meeting of the <span class=\"dictionary\">governing board<\/span> and its committees that was held; and (v) an email address or email addresses that allow board members to receive public communications pertaining to board business; <a id=\"paragraph-285657\" class=\"section-permalink\" href=\"https:\/\/vacode.org\/23.1-1303\/#B2\"><i class=\"fa fa-link\"><\/i><\/a><\/p><\/section>\n\t\t\t\t\t\t<section id=\"B3\" class=\"indent-1\"><p><span class=\"prefix-number\">3.<\/span> Establish regulations or institution policies for the acceptance and assistance of students that include provisions (i) that specify that individuals who have knowingly and willfully failed to meet the federal requirement to register for the selective service are not eligible to receive any state direct student assistance, (ii) that specify that the accreditation status of a public high school in the Commonwealth shall not be considered in making admissions determinations for students who have earned a diploma pursuant to the requirements established by the Board of Education, and (iii) relating to the admission of certain graduates of <span class=\"dictionary\">comprehensive community colleges<\/span> as set forth in &#xA7; <a class=\"law\" title=\"Articulation, dual admissions, and guaranteed admissions agreements; admission of certain comprehensive community college graduates\" href=\"\/23.1-907\/\">23.1-907<\/a>; <a id=\"paragraph-285658\" class=\"section-permalink\" href=\"https:\/\/vacode.org\/23.1-1303\/#B3\"><i class=\"fa fa-link\"><\/i><\/a><\/p><\/section>\n\t\t\t\t\t\t<section id=\"B4\" class=\"indent-1\"><p><span class=\"prefix-number\">4.<\/span> Assist the <span class=\"dictionary\">Council<\/span> in enforcing the provisions relating to eligibility for financial aid; <a id=\"paragraph-285659\" class=\"section-permalink\" href=\"https:\/\/vacode.org\/23.1-1303\/#B4\"><i class=\"fa fa-link\"><\/i><\/a><\/p><\/section>\n\t\t\t\t\t\t<section id=\"B5\" class=\"indent-1\"><p><span class=\"prefix-number\">5.<\/span> Notwithstanding any other provision of state <span class=\"dictionary\">law<\/span>, establish policies and procedures requiring the notification of the parent of a dependent student when such student receives <span class=\"dictionary\">mental health treatment<\/span> at the institution&#8217;s student health or counseling center and such treatment becomes part of the student&#8217;s educational record in accordance with the federal Health Insurance Portability and Accountability Act (42 U.S.C. &#xA7; 1320d et seq.) and may be disclosed without prior consent as authorized by the federal Family Educational Rights and Privacy Act (20 U.S.C. &#xA7; 1232g) and related regulations (34 C.F.R. Part 99). Such notification shall only be required if it is determined that there exists a substantial likelihood that, as a result of mental illness the student will, in the near future, (i) cause serious physical harm to himself or others as evidenced by recent behavior or any other relevant information or (ii) suffer serious harm due to his lack of capacity to protect himself from harm or to provide for his basic human needs. However, notification may be withheld if any person licensed to diagnose and treat mental, emotional, or behavioral disorders by a health regulatory board within the Department of Health Professions who is treating the student has made a part of the student&#8217;s record a written statement that, in the exercise of his professional <span class=\"dictionary\">judgment<\/span>, the notification would be reasonably likely to cause substantial harm to the student or another person. No <span class=\"dictionary\">public institution of higher education<\/span> or employee of a <span class=\"dictionary\">public institution of higher education<\/span> making a disclosure pursuant to this subsection is civilly liable for any harm resulting from such disclosure unless such disclosure constitutes gross <span class=\"dictionary\">negligence<\/span> or willful misconduct by the institution or its employees; <a id=\"paragraph-285660\" class=\"section-permalink\" href=\"https:\/\/vacode.org\/23.1-1303\/#B5\"><i class=\"fa fa-link\"><\/i><\/a><\/p><\/section>\n\t\t\t\t\t\t<section id=\"B6\" class=\"indent-1\"><p><span class=\"prefix-number\">6.<\/span> Establish policies and procedures requiring the release of the educational record of a dependent student, as defined by the federal Family Educational Rights and Privacy Act (20 U.S.C. &#xA7; 1232g), to a parent at his request; <a id=\"paragraph-285661\" class=\"section-permalink\" href=\"https:\/\/vacode.org\/23.1-1303\/#B6\"><i class=\"fa fa-link\"><\/i><\/a><\/p><\/section>\n\t\t\t\t\t\t<section id=\"B7\" class=\"indent-1\"><p><span class=\"prefix-number\">7.<\/span> Establish programs to seek to ensure that all graduates have the technology skills necessary to compete in the twenty-first century and that all students matriculating in teacher-training programs receive instruction in the effective use of educational technology; <a id=\"paragraph-285662\" class=\"section-permalink\" href=\"https:\/\/vacode.org\/23.1-1303\/#B7\"><i class=\"fa fa-link\"><\/i><\/a><\/p><\/section>\n\t\t\t\t\t\t<section id=\"B8\" class=\"indent-1\"><p><span class=\"prefix-number\">8.<\/span> Establish policies for the discipline of students who participate in varsity intercollegiate athletics, including a provision requiring an annual report by the administration of the institution to the <span class=\"dictionary\">governing board<\/span> regarding enforcement actions taken pursuant to such policies; <a id=\"paragraph-285663\" class=\"section-permalink\" href=\"https:\/\/vacode.org\/23.1-1303\/#B8\"><i class=\"fa fa-link\"><\/i><\/a><\/p><\/section>\n\t\t\t\t\t\t<section id=\"B9\" class=\"indent-1\"><p><span class=\"prefix-number\">9.<\/span> In addition to all meetings prescribed in Chapters 14 (&#xA7; <a class=\"law\" title=\"Corporate name; name of the University\" href=\"\/23.1-1400\/\">23.1-1400<\/a> et seq.) through 29 (&#xA7; <a class=\"law\" title=\"Definitions\" href=\"\/23.1-2900\/\">23.1-2900<\/a> et seq.), meet with the <span class=\"dictionary\">chief executive officer<\/span> of the institution at least once annually, in a closed meeting pursuant to subdivision A 1 of &#xA7; <a class=\"law\" title=\"(Effective July 1, 2026) Closed meetings authorized for certain limited purposes\" href=\"\/2.2-3711\/\">2.2-3711<\/a> and deliver an evaluation of the <span class=\"dictionary\">chief executive officer<\/span>&#8217;s performance. Any change to the <span class=\"dictionary\">chief executive officer<\/span>&#8217;s employment <span class=\"dictionary\">contract<\/span> during any such meeting or any other meeting of the board shall be made only by a vote of the majority of the board&#8217;s members; <a id=\"paragraph-285664\" class=\"section-permalink\" href=\"https:\/\/vacode.org\/23.1-1303\/#B9\"><i class=\"fa fa-link\"><\/i><\/a><\/p><\/section>\n\t\t\t\t\t\t<section id=\"B10\" class=\"indent-1\"><p><span class=\"prefix-number\">10.<\/span> If human research, as defined in &#xA7; <a class=\"law\" title=\"Definitions\" href=\"\/32.1-162.16\/\">32.1-162.16<\/a>, is conducted at the institution, adopt regulations pursuant to the Administrative Process Act (&#xA7; <a class=\"law\" title=\"Short title; purpose\" href=\"\/2.2-4000\/\">2.2-4000<\/a> et seq.) to effectuate the provisions of Chapter 5.1 (&#xA7; <a class=\"law\" title=\"Definitions\" href=\"\/32.1-162.16\/\">32.1-162.16<\/a> et seq.) of Title 32.1 for human research. Such regulations shall require the human research committee to submit to the Governor, the General Assembly, and the <span class=\"dictionary\">chief executive officer<\/span> of the institution or his designee at least annually a report on the human research projects reviewed and approved by the committee and require the committee to report any significant deviations from approved proposals; <a id=\"paragraph-285665\" class=\"section-permalink\" href=\"https:\/\/vacode.org\/23.1-1303\/#B10\"><i class=\"fa fa-link\"><\/i><\/a><\/p><\/section>\n\t\t\t\t\t\t<section id=\"B11\" class=\"indent-1\"><p><span class=\"prefix-number\">11.<\/span> Submit and make publicly available on the institution&#8217;s website the annual financial statements for the fiscal year ending the preceding June 30 and the accounts and status of any ongoing capital projects to the Auditor of Public Accounts for the audit of such statements pursuant to &#xA7; <a class=\"law\" title=\"Duties and powers generally\" href=\"\/30-133\/\">30-133<\/a>; <a id=\"paragraph-285666\" class=\"section-permalink\" href=\"https:\/\/vacode.org\/23.1-1303\/#B11\"><i class=\"fa fa-link\"><\/i><\/a><\/p><\/section>\n\t\t\t\t\t\t<section id=\"B12\" class=\"indent-1\"><p><span class=\"prefix-number\">12.<\/span> No later than December 1 of each year, report to the <span class=\"dictionary\">Council<\/span> and make publicly available on the institution&#8217;s website (i) the value of <span class=\"dictionary\">investments<\/span> as reflected on the Statement of Net Position as of June 30 of the previous fiscal year, excluding any funds derived from endowment donations, endowment income, or other private philanthropy; (ii) the cash earnings on such balances in the previous fiscal year; and (iii) the use of the cash earnings on such balances. In the event that the commitment of any such investment earnings spans more than one fiscal year, the report shall reflect the commitments made in each future fiscal year. The reports of the Boards of Visitors of Virginia Commonwealth University and the University of Virginia shall exclude the value of and earnings on any <span class=\"dictionary\">investments<\/span> held by the Virginia Commonwealth University Health <span class=\"dictionary\">System<\/span> Authority and the University of Virginia Medical Center, respectively. As used in this subdivision, &#8220;<span class=\"dictionary\">investments<\/span>&#8221; includes all short-term, long-term, liquid, and illiquid Statement of Net Position accounts, and subaccounts thereof, in which moneys have been invested in securities; <a id=\"paragraph-285667\" class=\"section-permalink\" href=\"https:\/\/vacode.org\/23.1-1303\/#B12\"><i class=\"fa fa-link\"><\/i><\/a><\/p><\/section>\n\t\t\t\t\t\t<section id=\"B13\" class=\"indent-1\"><p><span class=\"prefix-number\">13.<\/span> Submit to the General Assembly and the Governor and make publicly available on the institution&#8217;s website an annual executive summary of its interim activity and work no later than the first day of each regular session of the General Assembly. The executive summary shall be submitted as provided in the procedures of the Division of Legislative Automated <span class=\"dictionary\">Systems<\/span> for the processing of legislative documents and reports and shall be posted on the General Assembly&#8217;s website; <a id=\"paragraph-285668\" class=\"section-permalink\" href=\"https:\/\/vacode.org\/23.1-1303\/#B13\"><i class=\"fa fa-link\"><\/i><\/a><\/p><\/section>\n\t\t\t\t\t\t<section id=\"B14\" class=\"indent-1\"><p><span class=\"prefix-number\">14.<\/span> Make available to any interested <span class=\"dictionary\">party<\/span> upon request a copy of the portion of the most recent report of the Uniform <span class=\"dictionary\">Crime<\/span> Reporting Section of the Department of State Police entitled &#8220;<span class=\"dictionary\">Crime<\/span> in Virginia&#8221; pertaining to institutions of higher education; <a id=\"paragraph-285669\" class=\"section-permalink\" href=\"https:\/\/vacode.org\/23.1-1303\/#B14\"><i class=\"fa fa-link\"><\/i><\/a><\/p><\/section>\n\t\t\t\t\t\t<section id=\"B15\" class=\"indent-1\"><p><span class=\"prefix-number\">15.<\/span> Adopt policies or institution regulations regarding the ownership, protection, assignment, and use of <span class=\"dictionary\">intellectual property<\/span> and provide a copy of such policies or institution regulations to the Governor and the Joint Commission on Technology and Science. All employees, including student employees, of public institutions of higher education are bound by the <span class=\"dictionary\">intellectual property<\/span> policies or institution regulations of the institution employing them; <a id=\"paragraph-285670\" class=\"section-permalink\" href=\"https:\/\/vacode.org\/23.1-1303\/#B15\"><i class=\"fa fa-link\"><\/i><\/a><\/p><\/section>\n\t\t\t\t\t\t<section id=\"B16\" class=\"indent-1\"><p><span class=\"prefix-number\">16.<\/span> Adopt policies that are supportive of the <span class=\"dictionary\">intellectual property<\/span> rights of matriculated students who are not employed by such institution; and <a id=\"paragraph-285671\" class=\"section-permalink\" href=\"https:\/\/vacode.org\/23.1-1303\/#B16\"><i class=\"fa fa-link\"><\/i><\/a><\/p><\/section>\n\t\t\t\t\t\t<section id=\"B17\" class=\"indent-1\"><p><span class=\"prefix-number\">17.<\/span> Solicit the input of representatives of the institution&#8217;s faculty senate or its equivalent (i) at least twice per academic year on topics of general interest to the faculty and (ii) in advance of decisions to be made on the search for the institution&#8217;s new <span class=\"dictionary\">chief executive officer<\/span>. <a id=\"paragraph-285672\" class=\"section-permalink\" href=\"https:\/\/vacode.org\/23.1-1303\/#B17\"><i class=\"fa fa-link\"><\/i><\/a><\/p><\/section>","plain_text":"                                 CODE OF VIRGINIA\n\nGOVERNING BOARDS; DUTIES (\u00a7 23.1-1303)\n\nA. For purposes of this section, &#8220;intellectual property&#8221; means (i) a\npotentially patentable machine, article of manufacture, composition of matter,\nprocess, or improvement in any of those; (ii) an issued patent; (iii) a legal\nright that inheres in a patent; or (iv) anything that is copyrightable.\n\nB. The governing board of each public institution of higher education shall:\n\n   1. Adopt and post conspicuously on its website bylaws for its own governance,\n   including provisions that (i) establish the requirement of transparency, to\n   the extent required by law, in all board actions; (ii) describe the\n   board&#8217;s obligations under the Virginia Freedom of Information Act\n   (&#xA7; 2.2-3700 et seq.), as set forth in subdivision B 10 of &#xA7;\n   23.1-1301, including the requirements that (a) the board record minutes of\n   each open meeting and post the minutes on the board&#8217;s website, in\n   accordance with subsection I of &#xA7; 2.2-3707 and &#xA7; 2.2-3707.1, (b)\n   discussions and actions on any topic not specifically exempted by &#xA7;\n   2.2-3711 be held in an open meeting, (c) the board give public notice of all\n   meetings, in accordance with subsection D of &#xA7; 2.2-3707, and (d) any\n   action taken in a closed meeting be approved in an open meeting before it can\n   have any force or effect, in accordance with subsection B of &#xA7; 2.2-3711;\n   and (iii) require that the board invite the Attorney General&#8217;s appointee\n   or representative to all meetings of the board, executive committee, and board\n   committees;\n\n   2. Establish and maintain on the institution&#8217;s website (i) a listing of\n   all board members, including the name of the Governor who made each\n   appointment and the date of each appointment; (ii) a listing of all committees\n   created by the board and the membership of each committee; (iii) a schedule of\n   all upcoming meetings of the full board and its committees and instructions\n   for the public to access such meetings; (iv) an archive of agendas and\n   supporting materials for each meeting of the governing board and its\n   committees that was held; and (v) an email address or email addresses that\n   allow board members to receive public communications pertaining to board\n   business;\n\n   3. Establish regulations or institution policies for the acceptance and\n   assistance of students that include provisions (i) that specify that\n   individuals who have knowingly and willfully failed to meet the federal\n   requirement to register for the selective service are not eligible to receive\n   any state direct student assistance, (ii) that specify that the accreditation\n   status of a public high school in the Commonwealth shall not be considered in\n   making admissions determinations for students who have earned a diploma\n   pursuant to the requirements established by the Board of Education, and (iii)\n   relating to the admission of certain graduates of comprehensive community\n   colleges as set forth in &#xA7; 23.1-907;\n\n   4. Assist the Council in enforcing the provisions relating to eligibility for\n   financial aid;\n\n   5. Notwithstanding any other provision of state law, establish policies and\n   procedures requiring the notification of the parent of a dependent student\n   when such student receives mental health treatment at the institution&#8217;s\n   student health or counseling center and such treatment becomes part of the\n   student&#8217;s educational record in accordance with the federal Health\n   Insurance Portability and Accountability Act (42 U.S.C. &#xA7; 1320d et seq.)\n   and may be disclosed without prior consent as authorized by the federal Family\n   Educational Rights and Privacy Act (20 U.S.C. &#xA7; 1232g) and related\n   regulations (34 C.F.R. Part 99). Such notification shall only be required if\n   it is determined that there exists a substantial likelihood that, as a result\n   of mental illness the student will, in the near future, (i) cause serious\n   physical harm to himself or others as evidenced by recent behavior or any\n   other relevant information or (ii) suffer serious harm due to his lack of\n   capacity to protect himself from harm or to provide for his basic human needs.\n   However, notification may be withheld if any person licensed to diagnose and\n   treat mental, emotional, or behavioral disorders by a health regulatory board\n   within the Department of Health Professions who is treating the student has\n   made a part of the student&#8217;s record a written statement that, in the\n   exercise of his professional judgment, the notification would be reasonably\n   likely to cause substantial harm to the student or another person. No public\n   institution of higher education or employee of a public institution of higher\n   education making a disclosure pursuant to this subsection is civilly liable\n   for any harm resulting from such disclosure unless such disclosure constitutes\n   gross negligence or willful misconduct by the institution or its employees;\n\n   6. Establish policies and procedures requiring the release of the educational\n   record of a dependent student, as defined by the federal Family Educational\n   Rights and Privacy Act (20 U.S.C. &#xA7; 1232g), to a parent at his request;\n\n   7. Establish programs to seek to ensure that all graduates have the technology\n   skills necessary to compete in the twenty-first century and that all students\n   matriculating in teacher-training programs receive instruction in the\n   effective use of educational technology;\n\n   8. Establish policies for the discipline of students who participate in\n   varsity intercollegiate athletics, including a provision requiring an annual\n   report by the administration of the institution to the governing board\n   regarding enforcement actions taken pursuant to such policies;\n\n   9. In addition to all meetings prescribed in Chapters 14 (&#xA7; 23.1-1400 et\n   seq.) through 29 (&#xA7; 23.1-2900 et seq.), meet with the chief executive\n   officer of the institution at least once annually, in a closed meeting\n   pursuant to subdivision A 1 of &#xA7; 2.2-3711 and deliver an evaluation of\n   the chief executive officer&#8217;s performance. Any change to the chief\n   executive officer&#8217;s employment contract during any such meeting or any\n   other meeting of the board shall be made only by a vote of the majority of the\n   board&#8217;s members;\n\n   10. If human research, as defined in &#xA7; 32.1-162.16, is conducted at the\n   institution, adopt regulations pursuant to the Administrative Process Act\n   (&#xA7; 2.2-4000 et seq.) to effectuate the provisions of Chapter 5.1 (&#xA7;\n   32.1-162.16 et seq.) of Title 32.1 for human research. Such regulations shall\n   require the human research committee to submit to the Governor, the General\n   Assembly, and the chief executive officer of the institution or his designee\n   at least annually a report on the human research projects reviewed and\n   approved by the committee and require the committee to report any significant\n   deviations from approved proposals;\n\n   11. Submit and make publicly available on the institution&#8217;s website the\n   annual financial statements for the fiscal year ending the preceding June 30\n   and the accounts and status of any ongoing capital projects to the Auditor of\n   Public Accounts for the audit of such statements pursuant to &#xA7; 30-133;\n\n   12. No later than December 1 of each year, report to the Council and make\n   publicly available on the institution&#8217;s website (i) the value of\n   investments as reflected on the Statement of Net Position as of June 30 of the\n   previous fiscal year, excluding any funds derived from endowment donations,\n   endowment income, or other private philanthropy; (ii) the cash earnings on\n   such balances in the previous fiscal year; and (iii) the use of the cash\n   earnings on such balances. In the event that the commitment of any such\n   investment earnings spans more than one fiscal year, the report shall reflect\n   the commitments made in each future fiscal year. The reports of the Boards of\n   Visitors of Virginia Commonwealth University and the University of Virginia\n   shall exclude the value of and earnings on any investments held by the\n   Virginia Commonwealth University Health System Authority and the University of\n   Virginia Medical Center, respectively. As used in this subdivision,\n   &#8220;investments&#8221; includes all short-term, long-term, liquid, and\n   illiquid Statement of Net Position accounts, and subaccounts thereof, in which\n   moneys have been invested in securities;\n\n   13. Submit to the General Assembly and the Governor and make publicly\n   available on the institution&#8217;s website an annual executive summary of\n   its interim activity and work no later than the first day of each regular\n   session of the General Assembly. The executive summary shall be submitted as\n   provided in the procedures of the Division of Legislative Automated Systems\n   for the processing of legislative documents and reports and shall be posted on\n   the General Assembly&#8217;s website;\n\n   14. Make available to any interested party upon request a copy of the portion\n   of the most recent report of the Uniform Crime Reporting Section of the\n   Department of State Police entitled &#8220;Crime in Virginia&#8221; pertaining\n   to institutions of higher education;\n\n   15. Adopt policies or institution regulations regarding the ownership,\n   protection, assignment, and use of intellectual property and provide a copy of\n   such policies or institution regulations to the Governor and the Joint\n   Commission on Technology and Science. All employees, including student\n   employees, of public institutions of higher education are bound by the\n   intellectual property policies or institution regulations of the institution\n   employing them;\n\n   16. Adopt policies that are supportive of the intellectual property rights of\n   matriculated students who are not employed by such institution; and\n\n   17.
