1989, c. 140; 1997, c. 801; 1998, c. 515; 2013, c. 787; 2020, c. 958.","full_text":"Unless the context otherwise requires, the following words and terms for the purpose of this chapter shall have the following meanings:\n\t\t&#8220;Certificate of origin&#8221; means the document provided by the manufacturer of a new watercraft, or its distributor, which is the only valid indication of ownership between the manufacturer, its distributor, its franchised new watercraft dealers, and the original purchaser not for resale.\n\t\t&#8220;Distributor&#8221; means a person who sells or distributes new watercraft, pursuant to a written agreement with the manufacturer, to new watercraft dealers in this Commonwealth.\n\t\t&#8220;Distributor branch&#8221; means a branch office maintained by a distributor for the sale of watercraft to watercraft dealers or for directing or supervising, in whole or in part, its representatives in this Commonwealth.\n\t\t&#8220;Distributor representative&#8221; means a person employed by a distributor or wholesaler, or by a distributor branch, for the purpose of making or promoting the sale of watercraft dealt in by it or for supervising or contacting its dealers, prospective dealers, or representatives in this Commonwealth.\n\t\t&#8220;Established place of business&#8221; means a salesroom in a permanent enclosed building or structure, either owned in fee or leased, at which a permanent business of bartering, trading and selling of watercraft will be carried on as such in good faith and at which place of business shall be kept and maintained the books, records, and files necessary to conduct the business at such place. &#8220;Established place of business&#8221; does not mean residences, tents, temporary stands, or other temporary quarters, nor permanent quarters occupied pursuant to any temporary arrangement, devoted principally to the business of a watercraft dealer, as defined in this section.\n\t\t&#8220;Factory branch&#8221; means a branch office, maintained by a person for the sale of watercraft to distributors or for the sale of watercraft to watercraft dealers, or for directing or supervising, in whole or in part, its representatives in this Commonwealth.\n\t\t&#8220;Factory representative&#8221; means a person employed by a person who manufactures or assembles watercraft or by a factory branch for the purpose of making or promoting the sale of its watercraft or for supervising or contacting its dealers, prospective dealers, or representatives in this Commonwealth.\n\t\t&#8220;Franchise&#8221; means a written contract or agreement between two or more persons whereby one person, the franchisee, is granted the right to engage in the business of offering, selling and servicing new watercraft manufactured or distributed by the grantor of the right, the franchisor, and where the operation of the franchisee&#8217;s business is substantially associated with the franchisor&#8217;s trademark, trade name, advertising, or other commercial symbol designating the franchisor, the watercraft or its manufacturer or distributor.\n\t\t&#8220;Manufacturer&#8221; means a person engaged in the business of constructing or assembling new watercraft.\n\t\t&#8220;New watercraft&#8221; means any watercraft that (i) has not been previously sold except in good faith for the purpose of resale; (ii) has not been used as a rental or demonstration watercraft, or for the personal and business transportation of the manufacturer or dealer or any of their employees, for any use other than the limited use necessary in testing the watercraft prior to delivery to a customer; (iii) is transferred by a certificate of origin; and (iv) has the manufacturer&#8217;s certification that it conforms to all applicable federal watercraft safety standards.\n\t\t&#8220;New watercraft dealer&#8221; means a dealer in new watercraft or new and used watercraft.\n\t\t&#8220;Person&#8221; means any natural person or individual, partnership, firm, association, corporation, or other entity.\n\t\t&#8220;Retail installment sale&#8221; means and includes every sale of one or more watercraft to a buyer for his use and not for resale, in which the price thereof is payable in one or more installments over a period of time and in which the seller has either retained title to the goods or has taken or retained a security interest in the goods under form of contract designated either as a conditional sale, bailment lease, chattel mortgage or otherwise.\n\t\t&#8220;Sale at retail&#8221; or &#8220;retail sale&#8221; means the act or attempted act of selling, bartering, exchanging, or otherwise disposing of a watercraft to a buyer for his personal use and not for resale.\n\t\t&#8220;Sale at wholesale&#8221; or &#8220;wholesale&#8221; means a sale to watercraft dealers or wholesalers other than to consumers or a sale to one who intends to resell.\n\t\t&#8220;Used watercraft&#8221; means any watercraft other than a new watercraft as defined in this section.\n\t\t&#8220;Used watercraft dealer&#8221; means a dealer in used watercraft that does not deal in new watercraft.\n\t\t&#8220;Watercraft&#8221; means the same as that term is defined in \u00a7 29.1-733.2 except that (i) United States naval watercraft, (ii) watercraft that have a valid marine document issued by the United States Coast Guard other than recreational watercraft under 70 feet in length, and (iii) watercraft documented outside the United States are not included in such definition for purposes of this chapter.\n\t\t&#8220;Watercraft dealer&#8221; means any person that:\n\n1\n\nFor commission, money, or other thing of value, buys, sells, exchanges, either outright or on conditional sale, bailment lease, chattel mortgage, or otherwise howsoever, or arranges or offers or attempts to solicit or negotiate on behalf of others a sale, purchase, or exchange of an interest in, new watercraft or new and used watercraft or used watercraft alone whether or not such watercraft are owned by such person;2\n\nIs engaged, wholly or in part, in the business of selling new watercraft or new and used watercraft, or used watercraft only, whether or not such watercraft are owned by such person; or3\n\nSells, offers to sell, displays, or permits the display for sale of two or more watercraft within any 12 consecutive months.\n\t\t\tFor the purpose of this chapter, &#8220;watercraft dealer&#8221; does not include:1\n\nReceivers, trustees, administrators, executors, guardians, conservators, or other persons appointed by or acting under judgment or order of any court or their employees when engaged in the specific performance of their duties as such employees;2\n\nPublic officers, their deputies, assistants, or employees, while performing their official duties;3\n\nPersons, other than corporations or other business entities primarily engaged in the leasing or renting of watercraft to others, (i) when selling or offering such watercraft for sale at retail or (ii) disposing of watercraft acquired for their own use and actually so used, when the same shall have been so acquired and used in good faith and not for the purpose of avoiding the provisions of this chapter;4\n\nAny corporation duly chartered or authorized to do a banking or trust business under the authority of the laws of this Commonwealth, or the United States, that may have received title to a watercraft in the normal course of its business by reason of a foreclosure, other taking, repossession or voluntary reconveyance to said corporation arising or occurring as a result of any loan secured by a lien on said watercraft;5\n\nAn employee of an organization arranging for the purchase or lease by the organization of watercraft for use in the organization&#8217;s business;6\n\nAny person who permits the operation of a watercraft show or permits the display of watercraft for sale by any watercraft dealer licensed under this chapter; or7\n\nAn insurance company licensed or otherwise authorized to do business in this Commonwealth that sells or disposes of watercraft under a contract with its insured and in the regular course of its business.\n\t\t\t&#8220;Watercraft demonstrator&#8221; means any person who is employed or contracted by a watercraft dealer to demonstrate watercraft to prospective buyers.\n\t\t\t&#8220;Watercraft salesman&#8221; or &#8220;salesman&#8221; means any person who is employed as a salesman by, or has an agreement with, a watercraft dealer to sell or exchange watercraft.\n\t\t\t&#8220;Watercraft show&#8221; means a branch office, maintained by a <span class=\"dictionary\">person<\/span> for the sale of watercraft to <span class=\"dictionary\">distributors<\/span> or for the sale of watercraft to watercraft dealers, or for directing or supervising, in whole or in part, its representatives in this Commonwealth.\n\t\t&#8220;<span class=\"dictionary\">Factory representative<\/span>&#8221; means a <span class=\"dictionary\">person<\/span> employed by a <span class=\"dictionary\">person<\/span> who manufactures or assembles watercraft or by a <span class=\"dictionary\">factory branch<\/span> for the purpose of making or promoting the sale of its watercraft or for supervising or contacting its dealers, prospective dealers, or representatives in this Commonwealth.\n\t\t&#8220;<span class=\"dictionary\">Franchise<\/span>&#8221; means a written <span class=\"dictionary\">contract<\/span> or agreement between two or more <span class=\"dictionary\">persons<\/span> whereby one <span class=\"dictionary\">person<\/span>, the franchisee, is granted the right to engage in the business of offering, selling and servicing new watercraft manufactured or distributed by the grantor of the right, the franchisor, and where the operation of the franchisee&#8217;s business is substantially associated with the franchisor&#8217;s trademark, trade name, advertising, or other commercial symbol designating the franchisor, the watercraft or its <span class=\"dictionary\">manufacturer<\/span> or distributor.\n\t\t&#8220;<span class=\"dictionary\">Manufacturer<\/span>&#8221; means a <span class=\"dictionary\">person<\/span> engaged in the business of constructing or assembling new watercraft.\n\t\t&#8220;New watercraft&#8221; means any watercraft that (i) has not been previously sold except in good faith for the purpose of resale; (ii) has not been used as a rental or demonstration watercraft, or for the personal and business <span class=\"dictionary\">transportation<\/span> of the <span class=\"dictionary\">manufacturer<\/span> or dealer or any of their employees, for any use other than the limited use necessary in testing the watercraft prior to delivery to a customer; (iii) is transferred by a <span class=\"dictionary\">certificate of origin<\/span>; and (iv) has the <span class=\"dictionary\">manufacturer<\/span>&#8217;s certification that it conforms to all applicable federal watercraft safety standards.\n\t\t&#8220;<span class=\"dictionary\">New watercraft dealer<\/span>&#8221; means a dealer in new watercraft or new and used watercraft.\n\t\t&#8220;<span class=\"dictionary\">Person<\/span>&#8221; means any natural <span class=\"dictionary\">person<\/span> or individual, partnership, firm, association, corporation, or other entity.\n\t\t&#8220;<span class=\"dictionary\">Retail installment sale<\/span>&#8221; means and includes every sale of one or more watercraft to a buyer for his use and not for resale, in which the price thereof is payable in one or more installments over a period of time and in which the seller has either retained title to the goods or has taken or retained a security interest in the goods under form of <span class=\"dictionary\">contract<\/span> designated either as a conditional sale, bailment lease, chattel mortgage or otherwise.\n\t\t&#8220;<span class=\"dictionary\">Sale at retail<\/span>&#8221; or &#8220;<span class=\"dictionary\">retail sale<\/span>&#8221; means the act or attempted act of selling, bartering, exchanging, or otherwise disposing of a watercraft to a buyer for his personal use and not for resale.\n\t\t&#8220;<span class=\"dictionary\">Sale at wholesale<\/span>&#8221; or &#8220;wholesale&#8221; means a sale to watercraft dealers or wholesalers other than to consumers or a sale to one who intends to resell.\n\t\t&#8220;Used watercraft&#8221; means any watercraft other than a new watercraft as defined in this section.\n\t\t&#8220;<span class=\"dictionary\">Used watercraft dealer<\/span>&#8221; means a dealer in used watercraft that does not deal in new watercraft.\n\t\t&#8220;Watercraft&#8221; means the same as that term is defined in \u00a7&nbsp;<a class=\"law\" title=\"Definitions\" href=\"\/29.1-733.2\/\">29.1-733.2<\/a> except that (i) United States naval watercraft, (ii) watercraft that have a valid marine document issued by the United States Coast Guard other than recreational watercraft under 70 feet in length, and (iii) watercraft documented outside the United States are not included in such definition for purposes of this chapter.\n\t\t&#8220;Watercraft dealer&#8221; means any <span class=\"dictionary\">person<\/span> that:<\/p><\/section>\n\t\t\t\t\t\t<section id=\"1\"><p><span class=\"prefix-number\">1.<\/span> For commission, money, or other thing of value, buys, sells, exchanges, either outright or on conditional sale, bailment lease, chattel mortgage, or otherwise howsoever, or arranges or offers or attempts to solicit or negotiate on behalf of others a sale, purchase, or exchange of an interest in, new watercraft or new and used watercraft or used watercraft alone whether or not such watercraft are owned by such <span class=\"dictionary\">person<\/span>; <a id=\"paragraph-307764\" class=\"section-permalink\" href=\"https:\/\/vacode.org\/29.1-801\/#1\"><i class=\"fa fa-link\"><\/i><\/a><\/p><\/section>\n\t\t\t\t\t\t<section id=\"2\"><p><span class=\"prefix-number\">2.<\/span> Is engaged, wholly or in part, in the business of selling new watercraft or new and used watercraft, or used watercraft only, whether or not such watercraft are owned by such <span class=\"dictionary\">person<\/span>; or <a id=\"paragraph-307765\" class=\"section-permalink\" href=\"https:\/\/vacode.org\/29.1-801\/#2\"><i class=\"fa fa-link\"><\/i><\/a><\/p><\/section>\n\t\t\t\t\t\t<section id=\"3\"><p><span class=\"prefix-number\">3.<\/span> Sells, offers to sell, displays, or permits the display for sale of two or more watercraft within any 12 consecutive months.\n\t\t\tFor the purpose of this chapter, &#8220;watercraft dealer&#8221; does not include: <a id=\"paragraph-307766\" class=\"section-permalink\" href=\"https:\/\/vacode.org\/29.1-801\/#3\"><i class=\"fa fa-link\"><\/i><\/a><\/p><\/section>\n\t\t\t\t\t\t<section id=\"1\"><p><span class=\"prefix-number\">1.<\/span> Receivers, trustees, administrators, executors, guardians, conservators, or other <span class=\"dictionary\">persons<\/span> appointed by or acting under <span class=\"dictionary\">judgment<\/span> or <span class=\"dictionary\">order<\/span> of any <span class=\"dictionary\">court<\/span> or their employees when engaged in the specific performance of their duties as such employees; <a id=\"paragraph-307767\" class=\"section-permalink\" href=\"https:\/\/vacode.org\/29.1-801\/#1\"><i class=\"fa fa-link\"><\/i><\/a><\/p><\/section>\n\t\t\t\t\t\t<section id=\"2\"><p><span class=\"prefix-number\">2.<\/span> Public officers, their deputies, assistants, or employees, while performing their official duties; <a id=\"paragraph-307768\" class=\"section-permalink\" href=\"https:\/\/vacode.org\/29.1-801\/#2\"><i class=\"fa fa-link\"><\/i><\/a><\/p><\/section>\n\t\t\t\t\t\t<section id=\"3\"><p><span class=\"prefix-number\">3.<\/span> <span class=\"dictionary\">Persons<\/span>, other than corporations or other business entities primarily engaged in the leasing or renting of watercraft to others, (i) when selling or offering such watercraft for <span class=\"dictionary\">sale at retail<\/span> or (ii) disposing of watercraft acquired for their own use and actually so used, when the same shall have been so acquired and used in good faith and not for the purpose of avoiding the provisions of this chapter; <a id=\"paragraph-307769\" class=\"section-permalink\" href=\"https:\/\/vacode.org\/29.1-801\/#3\"><i class=\"fa fa-link\"><\/i><\/a><\/p><\/section>\n\t\t\t\t\t\t<section id=\"4\"><p><span class=\"prefix-number\">4.<\/span> Any corporation duly chartered or authorized to do a banking or trust business under the authority of the <span class=\"dictionary\">laws<\/span> of this Commonwealth, or the United States, that may have received title to a watercraft in the normal course of its business by reason of a foreclosure, other taking, repossession or voluntary reconveyance to said corporation arising or occurring as a result of any loan secured by a <span class=\"dictionary\">lien<\/span> on said watercraft; <a id=\"paragraph-307770\" class=\"section-permalink\" href=\"https:\/\/vacode.org\/29.1-801\/#4\"><i class=\"fa fa-link\"><\/i><\/a><\/p><\/section>\n\t\t\t\t\t\t<section id=\"5\"><p><span class=\"prefix-number\">5.<\/span> An employee of an organization arranging for the purchase or lease by the organization of watercraft for use in the organization&#8217;s business; <a id=\"paragraph-307771\" class=\"section-permalink\" href=\"https:\/\/vacode.org\/29.1-801\/#5\"><i class=\"fa fa-link\"><\/i><\/a><\/p><\/section>\n\t\t\t\t\t\t<section id=\"6\"><p><span class=\"prefix-number\">6.<\/span> Any <span class=\"dictionary\">person<\/span> who permits the operation of a <span class=\"dictionary\">watercraft show<\/span> or permits the display of watercraft for sale by any watercraft dealer licensed under this chapter; or <a id=\"paragraph-307772\" class=\"section-permalink\" href=\"https:\/\/vacode.org\/29.1-801\/#6\"><i class=\"fa fa-link\"><\/i><\/a><\/p><\/section>\n\t\t\t\t\t\t<section id=\"7\"><p><span class=\"prefix-number\">7.<\/span> An insurance company licensed or otherwise authorized to do business in this Commonwealth that sells or disposes of watercraft under a <span class=\"dictionary\">contract<\/span> with its insured and in the regular course of its business.\n\t\t\t&#8220;<span class=\"dictionary\">Watercraft demonstrator<\/span>&#8221; means any <span class=\"dictionary\">person<\/span> who is employed or contracted by a watercraft dealer to demonstrate watercraft to prospective buyers.\n\t\t\t&#8220;<span class=\"dictionary\">Watercraft salesman<\/span>&#8221; or &#8220;salesman&#8221; means any <span class=\"dictionary\">person<\/span> who is employed as a salesman by, or has an agreement with, a watercraft dealer to sell or exchange watercraft.\n\t\t\t&#8220;<span class=\"dictionary\">Watercraft show<\/span>&#8221; means a display of watercraft to the general public at a location other than a dealer&#8217;s location licensed under this chapter where such watercraft may be offered for sale or exchange during or as part of the display. <a id=\"paragraph-307773\" class=\"section-permalink\" href=\"https:\/\/vacode.org\/29.1-801\/#7\"><i class=\"fa fa-link\"><\/i><\/a><\/p><\/section>","plain_text":"                                 CODE OF VIRGINIA\n\nDEFINITIONS (\u00a7 29.1-801)\n\nUnless the context otherwise requires, the following words and terms for the\npurpose of this chapter shall have the following meanings:\n\t\t&#8220;Certificate of origin&#8221; means the document provided by the\nmanufacturer of a new watercraft, or its distributor, which is the only valid\nindication of ownership between the manufacturer, its distributor, its\nfranchised new watercraft dealers, and the original purchaser not for resale.\n\t\t&#8220;Distributor&#8221; means a person who sells or distributes new\nwatercraft, pursuant to a written agreement with the manufacturer, to new\nwatercraft dealers in this Commonwealth.\n\t\t&#8220;Distributor branch&#8221; means a branch office maintained by a\ndistributor for the sale of watercraft to watercraft dealers or for directing or\nsupervising, in whole or in part, its representatives in this Commonwealth.\n\t\t&#8220;Distributor representative&#8221; means a person employed by a\ndistributor or wholesaler, or by a distributor branch, for the purpose of making\nor promoting the sale of watercraft dealt in by it or for supervising or\ncontacting its dealers, prospective dealers, or representatives in this\nCommonwealth.\n\t\t&#8220;Established place of business&#8221; means a salesroom in a permanent\nenclosed building or structure, either owned in fee or leased, at which a\npermanent business of bartering, trading and selling of watercraft will be\ncarried on as such in good faith and at which place of business shall be kept\nand maintained the books, records, and files necessary to conduct the business\nat such place. &#8220;Established place of business&#8221; does not mean\nresidences, tents, temporary stands, or other temporary quarters, nor permanent\nquarters occupied pursuant to any temporary arrangement, devoted principally to\nthe business of a watercraft dealer, as defined in this section.\n\t\t&#8220;Factory branch&#8221; means a branch office, maintained by a person for\nthe sale of watercraft to distributors or for the sale of watercraft to\nwatercraft dealers, or for directing or supervising, in whole or in part, its\nrepresentatives in this Commonwealth.\n\t\t&#8220;Factory representative&#8221; means a person employed by a person who\nmanufactures or assembles watercraft or by a factory branch for the purpose of\nmaking or promoting the sale of its watercraft or for supervising or contacting\nits dealers, prospective dealers, or representatives in this Commonwealth.\n\t\t&#8220;Franchise&#8221; means a written contract or agreement between two or\nmore persons whereby one person, the franchisee, is granted the right to engage\nin the business of offering, selling and servicing new watercraft manufactured\nor distributed by the grantor of the right, the franchisor, and where the\noperation of the franchisee&#8217;s business is substantially associated with\nthe franchisor&#8217;s trademark, trade name, advertising, or other commercial\nsymbol designating the franchisor, the watercraft or its manufacturer or\ndistributor.\n\t\t&#8220;Manufacturer&#8221; means a person engaged in the business of\nconstructing or assembling new watercraft.\n\t\t&#8220;New watercraft&#8221; means any watercraft that (i) has not been\npreviously sold except in good faith for the purpose of resale; (ii) has not\nbeen used as a rental or demonstration watercraft, or for the personal and\nbusiness transportation of the manufacturer or dealer or any of their employees,\nfor any use other than the limited use necessary in testing the watercraft prior\nto delivery to a customer; (iii) is transferred by a certificate of origin; and\n(iv) has the manufacturer&#8217;s certification that it conforms to all\napplicable federal watercraft safety standards.\n\t\t&#8220;New watercraft dealer&#8221; means a dealer in new watercraft or new\nand used watercraft.\n\t\t&#8220;Person&#8221; means any natural person or individual, partnership,\nfirm, association, corporation, or other entity.\n\t\t&#8220;Retail installment sale&#8221; Is engaged, wholly or in part, in the business of selling new watercraft or\nnew and used watercraft, or used watercraft only, whether or not such watercraft\nare owned by such person; or\n\n3. Sells, offers to sell, displays, or permits the display for sale of two or\nmore watercraft within any 12 consecutive months.\n\t\t\tFor the purpose of this chapter, &#8220;watercraft dealer&#8221; does not\ninclude:\n\n1. Receivers, trustees, administrators, executors, guardians, conservators, or\nother persons appointed by or acting under judgment or order of any court or\ntheir employees when engaged in the specific performance of their duties as such\nemployees;\n\n2. Public officers, their deputies, assistants, or employees, while performing\ntheir official duties;\n\n3. Persons, other than corporations or other business entities primarily engaged\nin the leasing or renting of watercraft to others, (i) when selling or offering\nsuch watercraft for sale at retail or (ii) disposing of watercraft acquired for\ntheir own use and actually so used, when the same shall have been so acquired\nand used in good faith and not for the purpose of avoiding the provisions of\nthis chapter;\n\n4. Any corporation duly chartered or authorized to do a banking or trust\nbusiness under the authority of the laws of this Commonwealth, or the United\nStates, that may have received title to a watercraft in the normal course of its\nbusiness by reason of a foreclosure, other taking, repossession or voluntary\nreconveyance to said corporation arising or occurring as a result of any loan\nsecured by a lien on said watercraft;\n\n5. An employee of an organization arranging for the purchase or lease by the\norganization of watercraft for use in the organization&#8217;s business;\n\n6. Any person who permits the operation of a watercraft show or permits the\ndisplay of watercraft for sale by any watercraft dealer licensed under this\nchapter; or\n\n7.
