This information includes proprietary and trade secret information that has the potential for harm and competitive disadvantage to the insurer or insurance group if the information is made public. The ORSA summary report shall be a confidential document filed with the Commission, the report may be shared only as stated in this article and to assist the Commission in the performance of its duties, and in no event shall the report be subject to public disclosure.B\n\nDocuments, materials, or other information, including the ORSA summary report, in the possession of or control of the Commission that is obtained by, created by, or disclosed to the Commission or any other person under this article is declared to be proprietary and to contain trade secrets. All such documents, materials, or other information shall be confidential by law and privileged, shall not be subject to subpoena, and shall not be subject to discovery or admissible in evidence in any private civil action. However, the Commission is authorized to use the documents, materials, or other information in the furtherance of any regulatory or legal action brought as a part of the Commission&#8217;s official duties. The Commission shall not otherwise make the documents, materials, or other information public without the prior written consent of the insurer.C\n\nNeither the Commission nor any person who received documents, materials, or other ORSA-related information, through examination or otherwise, while acting under the authority of the Commission or with whom such documents, materials, or other information is shared pursuant to this article shall be permitted or required to testify in any private civil action concerning any confidential documents, materials, or information subject to subsections A and B.D\n\nIn order to assist in the performance of the Commission&#8217;s regulatory duties, the Commission:1\n\nMay, upon request, share documents, materials, or other ORSA-related information, including the confidential and privileged documents, materials, or information subject to subsection A, including proprietary and trade secret documents and materials, with other state, federal, and international financial regulatory agencies, including any forum for cooperation and communication between insurance supervisors, known as a supervisory college, that is established for the purpose of facilitating the effectiveness of supervision of insurers, with the NAIC, and with any third-party consultants designated by the Commission, provided that the recipient agrees in writing to maintain the confidentiality and privileged status of the ORSA-related documents, materials, or other information and has verified in writing the legal authority to maintain confidentiality;2\n\nMay receive documents, materials, or other ORSA-related information, including otherwise confidential and privileged documents, materials, or information, including proprietary and trade-secret information or documents, from regulatory officials of other foreign or domestic jurisdictions, including members of any supervisory college, and from the NAIC and shall maintain as confidential or privileged any documents, materials, or information received with notice or the understanding that it is confidential or privileged under the laws of the jurisdiction that is the source of the document, material, or information; and3\n\nShall enter into a written agreement with the NAIC or a third-party consultant governing the sharing and use of information provided pursuant to this article, consistent with this subsection. The agreement shall:\n\t\t\t\ta. Specify procedures and protocols regarding the confidentiality and security of information shared with the NAIC or a third-party consultant pursuant to this article, including procedures and protocols for sharing by the NAIC with other state regulators from states in which the insurance group has domiciled insurers. The agreement shall provide that the recipient agrees in writing to maintain the confidentiality and privileged status of the ORSA-related documents, materials, or other information and has verified in writing the legal authority to maintain confidentiality;\n\t\t\t\tb. Specify that ownership of information shared with the NAIC or a third-party consultant pursuant to this article remains with the Commission and that the use of information by the NAIC or a third-party consultant is subject to the direction of the Commission;\n\t\t\t\tc. Prohibit the NAIC or third-party consultant from storing the information shared pursuant to this article in a permanent database after the underlying analysis is completed;\n\t\t\t\td. Require prompt notice to be given to an insurer whose confidential information in the possession of the NAIC or a third-party consultant pursuant to this article is subject to a request or subpoena to the NAIC or a third-party consultant for disclosure or production;\n\t\t\t\te. Require the NAIC or a third-party consultant to consent to intervention by an insurer in any judicial or administrative action in which the NAIC or a third-party consultant may be required to disclose confidential information about the insurer shared with the NAIC or a third-party consultant pursuant to this article; and\n\t\t\t\tf. Prohibit the <span class=\"dictionary\">NAIC<\/span> or third-<span class=\"dictionary\">party<\/span> consultant from storing the information shared pursuant to this article in a permanent database after the underlying analysis is completed;\n\t\t\t\td. Require prompt notice to be given to an <span class=\"dictionary\">insurer<\/span> whose confidential information in the <span class=\"dictionary\">possession<\/span> of the <span class=\"dictionary\">NAIC<\/span> or a third-<span class=\"dictionary\">party<\/span> consultant pursuant to this article is subject to a request or <span class=\"dictionary\">subpoena<\/span> to the <span class=\"dictionary\">NAIC<\/span> or a third-<span class=\"dictionary\">party<\/span> consultant for disclosure or production;\n\t\t\t\te. Require the <span class=\"dictionary\">NAIC<\/span> or a third-<span class=\"dictionary\">party<\/span> consultant to consent to intervention by an <span class=\"dictionary\">insurer<\/span> in any judicial or administrative action in which the <span class=\"dictionary\">NAIC<\/span> or a third-<span class=\"dictionary\">party<\/span> consultant may be required to disclose confidential information about the <span class=\"dictionary\">insurer<\/span> shared with the <span class=\"dictionary\">NAIC<\/span> or a third-<span class=\"dictionary\">party<\/span> consultant pursuant to this article; and\n\t\t\t\tf. In the case of an agreement involving a third-<span class=\"dictionary\">party<\/span> consultant, provide for the <span class=\"dictionary\">insurer<\/span>&#8217;s written consent. <a id=\"paragraph-306209\" class=\"section-permalink\" href=\"https:\/\/vacode.org\/38.2-1334.9\/#D3\"><i class=\"fa fa-link\"><\/i><\/a><\/p><\/section>\n\t\t\t\t\t\t<section id=\"E\"><p><span class=\"prefix-number\">E.<\/span> The sharing of information and documents by the <span class=\"dictionary\">Commission<\/span> pursuant to this article shall not constitute a delegation of regulatory authority or rulemaking, and the <span class=\"dictionary\">Commission<\/span> is solely responsible for the administration, execution, and enforcement of the provisions of this article. <a id=\"paragraph-306210\" class=\"section-permalink\" href=\"https:\/\/vacode.org\/38.2-1334.9\/#E\"><i class=\"fa fa-link\"><\/i><\/a><\/p><\/section>\n\t\t\t\t\t\t<section id=\"F\"><p><span class=\"prefix-number\">F.<\/span> No <span class=\"dictionary\">waiver<\/span> of any applicable <span class=\"dictionary\">privilege<\/span> or claim of confidentiality in the documents, proprietary and trade-secret <span class=\"dictionary\">materials<\/span>, or other ORSA-related information shall occur as a result of disclosure of such ORSA-related information or documents to the <span class=\"dictionary\">Commission<\/span> under this section or as a result of sharing as authorized in this article. <a id=\"paragraph-306211\" class=\"section-permalink\" href=\"https:\/\/vacode.org\/38.2-1334.9\/#F\"><i class=\"fa fa-link\"><\/i><\/a><\/p><\/section>\n\t\t\t\t\t\t<section id=\"G\"><p><span class=\"prefix-number\">G.<\/span> Documents, <span class=\"dictionary\">materials<\/span>, or other information in the <span class=\"dictionary\">possession<\/span> or control of the <span class=\"dictionary\">NAIC<\/span> or a third-<span class=\"dictionary\">party<\/span> consultant pursuant to this article shall be confidential by <span class=\"dictionary\">law<\/span> and privileged, shall not be subject to <span class=\"dictionary\">subpoena<\/span>, and shall not be subject to <span class=\"dictionary\">discovery<\/span> or <span class=\"dictionary\">admissible<\/span> in <span class=\"dictionary\">evidence<\/span> in any private <span class=\"dictionary\">civil action<\/span>. <a id=\"paragraph-306212\" class=\"section-permalink\" href=\"https:\/\/vacode.org\/38.2-1334.9\/#G\"><i class=\"fa fa-link\"><\/i><\/a><\/p><\/section>","plain_text":"                                 CODE OF VIRGINIA\n\nCONFIDENTIALITY (\u00a7 38.2-1334.9)\n\nA. The ORSA summary report is recognized by the Commonwealth as containing\nconfidential and sensitive information related to an insurer or insurance\ngroup&#8217;s identification of risks material and relevant to the insurer or\ninsurance group filing the report. This information includes proprietary and\ntrade secret information that has the potential for harm and competitive\ndisadvantage to the insurer or insurance group if the information is made\npublic. The ORSA summary report shall be a confidential document filed with the\nCommission, the report may be shared only as stated in this article and to\nassist the Commission in the performance of its duties, and in no event shall\nthe report be subject to public disclosure.\n\nB. Documents, materials, or other information, including the ORSA summary\nreport, in the possession of or control of the Commission that is obtained by,\ncreated by, or disclosed to the Commission or any other person under this\narticle is declared to be proprietary and to contain trade secrets. All such\ndocuments, materials, or other information shall be confidential by law and\nprivileged, shall not be subject to subpoena, and shall not be subject to\ndiscovery or admissible in evidence in any private civil action. However, the\nCommission is authorized to use the documents, materials, or other information\nin the furtherance of any regulatory or legal action brought as a part of the\nCommission&#8217;s official duties. The Commission shall not otherwise make the\ndocuments, materials, or other information public without the prior written\nconsent of the insurer.\n\nC. Neither the Commission nor any person who received documents, materials, or\nother ORSA-related information, through examination or otherwise, while acting\nunder the authority of the Commission or with whom such documents, materials, or\nother information is shared pursuant to this article shall be permitted or\nrequired to testify in any private civil action concerning any confidential\ndocuments, materials, or information subject to subsections A and B.\n\nD. In order to assist in the performance of the Commission&#8217;s regulatory\nduties, the Commission:\n\n   1. May, upon request, share documents, materials, or other ORSA-related\n   information, including the confidential and privileged documents, materials,\n   or information subject to subsection A, including proprietary and trade secret\n   documents and materials, with other state, federal, and international\n   financial regulatory agencies, including any forum for cooperation and\n   communication between insurance supervisors, known as a supervisory college,\n   that is established for the purpose of facilitating the effectiveness of\n   supervision of insurers, with the NAIC, and with any third-party consultants\n   designated by the Commission, provided that the recipient agrees in writing to\n   maintain the confidentiality and privileged status of the ORSA-related\n   documents, materials, or other information and has verified in writing the\n   legal authority to maintain confidentiality;\n\n   2. May receive documents, materials, or other ORSA-related information,\n   including otherwise confidential and privileged documents, materials, or\n   information, including proprietary and trade-secret information or documents,\n   from regulatory officials of other foreign or domestic jurisdictions,\n   including members of any supervisory college, and from the NAIC and shall\n   maintain as confidential or privileged any documents, materials, or\n   information received with notice or the understanding that it is confidential\n   or privileged under the laws of the jurisdiction that is the source of the\n   document, material, or information; and\n\n   3. Shall enter into a written agreement with the NAIC or a third-party\n   consultant governing the sharing and use of information provided pursuant to\n   this article, consistent with this subsection. The agreement shall:\n   \t\t\t\ta. Specify procedures and protocols regarding the confidentiality and\n   security of information shared with the NAIC or a third-party consultant\n   pursuant to this article, including procedures and protocols for sharing by\n   the NAIC with other state regulators from states in which the insurance group\n   has domiciled insurers. The agreement shall provide that the recipient agrees\n   in writing to maintain the confidentiality and privileged status of the\n   ORSA-related documents, materials, or other information and has verified in\n   writing the legal authority to maintain confidentiality;\n   \t\t\t\tb. Specify that ownership of information shared with the NAIC or a\n   third-party consultant pursuant to this article remains with the Commission\n   and that the use of information by the NAIC or a third-party consultant is\n   subject to the direction of the Commission;\n   \t\t\t\tc. Prohibit the NAIC or third-party consultant from storing the\n   information shared pursuant to this article in a permanent database after the\n   underlying analysis is completed;\n   \t\t\t\td. Require prompt notice to be given to an insurer whose confidential\n   information in the possession of the NAIC or a third-party consultant pursuant\n   to this article is subject to a request or subpoena to the NAIC or a\n   third-party consultant for disclosure or production;\n   \t\t\t\te. Require the NAIC or a third-party consultant to consent to intervention\n   by an insurer in any judicial or administrative action in which the NAIC or a\n   third-party consultant may be required to disclose confidential information\n   about the insurer shared with the NAIC or a third-party consultant pursuant to\n   this article; and\n   \t\t\t\tf. In the case of an agreement involving a third-party consultant, provide\n   for the insurer&#8217;s written consent.\n\nE. The sharing of information and documents by the Commission pursuant to this\narticle shall not constitute a delegation of regulatory authority or rulemaking,\nand the Commission is solely responsible for the administration, execution, and\nenforcement of the provisions of this article.\n\nF.
