I, cc. 349, 350.","full_text":"A\n\nAs used in this section:\n\t\t\t&#8220;CPI&#8221; means the Consumer Price Index &#x2014; U.S. City Averages for All Urban Consumers, All Items (not seasonally adjusted) as reported by the U.S. Department of Labor, Bureau of Labor Statistics; however, if the CPI is modified such that the base year of the CPI changes, the CPI shall be converted in accordance with the conversion factor published by the U.S. Department of Labor, Bureau of Labor Statistics, and if the CPI is discontinued or revised, such other historical index or computation approved by the Commission shall be used for purposes of this section that would obtain substantially the same result as would have been obtained if the CPI had not been discontinued or revised.\n\t\t\t&#8220;Materially discourage use&#8221; means to cause a decrease in traffic of three or more percentage points based on either a change in potential toll road users or a change in traffic attributable to the toll rate charged as validated by (i) an investment-grade travel demand model that takes population growth into consideration or (ii) in the case of an investigation into current toll rates, an actual traffic study that takes population growth into consideration.\n\t\t\t&#8220;Real GDP&#8221; means the Annual Real Gross Domestic Product as reported by the U.S. Department of Commerce, Bureau of Economic Analysis.B\n\nThe Commission shall have the power to regulate the operator under this title as a public service corporation. The Commission shall also have the power, and be charged with the duties of reviewing and approving or denying the application, of supervising and controlling the operator in the performance of its duties under this chapter and title, and of correcting any abuse in the performance of the operator&#8217;s public duties.C\n\nPursuant to &#xA7; 56-36, the Commission shall require annually from the operator a verified report describing the nature of its contractual and other relationships with individuals or entities contracting with the operator for the provision of significant financial, construction, or maintenance services. The Commission shall review the report and such other materials as it shall deem necessary for the purpose of determining improper or excessive costs, and shall exclude from the operator&#8217;s costs any amounts which it finds are improper or excessive. Included in such review shall be consideration of contractual relationships between the operator and individuals or entities that are closely associated or affiliated with the operator to assure that the terms of such contractual relationships are no less favorable or unfavorable to the operator than what it could obtain in an arm&#8217;s-length transaction.D\n\nThe Commission also shall have the duty and authority to approve or revise the toll rates charged by the operator. Initial rates shall be approved if they appear reasonable to the user in relation to the benefit obtained, not likely to materially discourage use of the roadway, and provide the operator no more than a reasonable return as determined by the Commission. Thereafter, the Commission, upon application, complaint or its own initiative, and after investigation, may order substituted for any toll being charged by the operator, a toll which is set at a level which is reasonable to the user in relation to the benefit obtained and which will not materially discourage use of the roadway by the public and which will provide the operator no more than a reasonable return as determined by the Commission. Any proposed toll rates that fail to meet these criteria as determined by the Commission are contrary to the public interest, and the Commission shall not approve such toll rates.\n\t\t\tAny application to increase toll rates shall include a forward-looking analysis that demonstrates that the proposed toll rates will be reasonable to the user in relation to the benefit obtained, not likely to materially discourage use of the roadway, and provide the operator no more than a reasonable return. Such forward-looking analysis shall include reasonable projections of anticipated traffic levels, including the impact of social and economic conditions anticipated during the time period that the proposed toll rates would be in effect. The Department shall review and provide comments upon the analysis to the Commission. Notwithstanding any other provision of law, the Commission shall not approve more than one year of toll rate increases proposed by the operator.E\n\nIf a change in the ownership of the facility or change in control of an operator occurs, whether or not accompanied by the issuance of securities as defined in subsection A of &#xA7; 56-57 and &#xA7; 56-65.1, the Commission, in any subsequent proceeding to set the level of a toll charged by the operator, shall ensure that the price paid in connection with the change in ownership or control, and any costs and other factors attributable to or resulting from the change in ownership or control, if they would contribute to an increase in the level of the toll, are excluded from the Commission&#8217;s determination of the operator&#8217;s reasonable return, in order to ensure that a change in ownership or control does not increase the level of the toll above that level that would otherwise have been required under subsection D if the change in ownership or control had not occurred. As used in this subsection, &#8220;control&#8221; has the same meaning as provided in &#xA7; 56-88.1.F\n\nPursuant to &#xA7; 56-36, the Commission shall require an operator to provide copies of annual audited financial statements for the operator, together with a statement of the operator&#8217;s ownership. The operator shall file such statement within four months from the end of the operator&#8217;s fiscal year.G\n\nThe proceeds and funding provided to the operator from any future bond indenture or similar credit agreement must be used for the purpose of refinancing existing debt, acquiring, designing, permitting, building, constructing, improving, equipping, modifying, maintaining, reconstructing, restoring, rehabilitating, or renewing the roadway property, and for the purpose of paying reasonable arm&#8217;s-length fees, development costs, and expenses incurred by the operator or a related individual or entity in executing such financial transaction, unless otherwise authorized by the Commission.H\n\nThe Commission may charge a reasonable annual fee to cover the costs of supervision and controlling the operator in the performance of its duties under this chapter and pursuant to this section.I\n\nAny agreement between the operator and the Department made pursuant to this chapter shall not be construed to alter the duties, obligations, or powers of the Commission set forth in this chapter.J\n\nPrior to refinancing existing debt, an operator shall petition the Commission for approval to refinance such debt. Initial <span class=\"dictionary\">rates<\/span> shall be approved if they appear reasonable to the user in relation to the benefit obtained, not likely to <span class=\"dictionary\">materially discourage use<\/span> of the <span class=\"dictionary\">roadway<\/span>, and provide the <span class=\"dictionary\">operator<\/span> no more than a reasonable return as determined by the <span class=\"dictionary\">Commission<\/span>. Thereafter, the <span class=\"dictionary\">Commission<\/span>, upon application, complaint or its own initiative, and after investigation, may <span class=\"dictionary\">order<\/span> substituted for any <span class=\"dictionary\">toll<\/span> being charged by the <span class=\"dictionary\">operator<\/span>, a <span class=\"dictionary\">toll<\/span> which is set at a level which is reasonable to the user in relation to the benefit obtained and which will not <span class=\"dictionary\">materially discourage use<\/span> of the <span class=\"dictionary\">roadway<\/span> by the public and which will provide the <span class=\"dictionary\">operator<\/span> no more than a reasonable return as determined by the <span class=\"dictionary\">Commission<\/span>. Any proposed <span class=\"dictionary\">toll<\/span> <span class=\"dictionary\">rates<\/span> that fail to meet these criteria as determined by the <span class=\"dictionary\">Commission<\/span> are contrary to the public interest, and the <span class=\"dictionary\">Commission<\/span> shall not approve such <span class=\"dictionary\">toll<\/span> <span class=\"dictionary\">rates<\/span>.\n\t\t\tAny application to increase <span class=\"dictionary\">toll<\/span> <span class=\"dictionary\">rates<\/span> shall include a forward-looking analysis that demonstrates that the proposed <span class=\"dictionary\">toll<\/span> <span class=\"dictionary\">rates<\/span> will be reasonable to the user in relation to the benefit obtained, not likely to <span class=\"dictionary\">materially discourage use<\/span> of the <span class=\"dictionary\">roadway<\/span>, and provide the <span class=\"dictionary\">operator<\/span> no more than a reasonable return. Such forward-looking analysis shall include reasonable projections of anticipated traffic levels, including the impact of social and economic conditions anticipated during the time period that the proposed <span class=\"dictionary\">toll<\/span> <span class=\"dictionary\">rates<\/span> would be in effect. The <span class=\"dictionary\">Department<\/span> shall review and provide comments upon the analysis to the <span class=\"dictionary\">Commission<\/span>. Notwithstanding any other provision of <span class=\"dictionary\">law<\/span>, the <span class=\"dictionary\">Commission<\/span> shall not approve more than one year of <span class=\"dictionary\">toll<\/span> <span class=\"dictionary\">rate<\/span> increases proposed by the <span class=\"dictionary\">operator<\/span>. <a id=\"paragraph-235646\" class=\"section-permalink\" href=\"https:\/\/vacode.org\/56-542\/#D\"><i class=\"fa fa-link\"><\/i><\/a><\/p><\/section>\n\t\t\t\t\t\t<section id=\"E\"><p><span class=\"prefix-number\">E.<\/span> If a change in the ownership of the facility or change in <span class=\"dictionary\">control<\/span> of an <span class=\"dictionary\">operator<\/span> occurs, whether or not accompanied by the issuance of securities as defined in subsection A of &#xA7; <a class=\"law\" title=\"Securities to which chapter is applicable\" href=\"\/56-57\/\">56-57<\/a> and &#xA7; <a class=\"law\" title=\"Short-term indebtedness\" href=\"\/56-65.1\/\">56-65.1<\/a>, the <span class=\"dictionary\">Commission<\/span>, in any subsequent proceeding to set the level of a <span class=\"dictionary\">toll<\/span> charged by the <span class=\"dictionary\">operator<\/span>, shall ensure that the price paid in connection with the change in ownership or <span class=\"dictionary\">control<\/span>, and any costs and other factors attributable to or resulting from the change in ownership or <span class=\"dictionary\">control<\/span>, if they would contribute to an increase in the level of the <span class=\"dictionary\">toll<\/span>, are excluded from the <span class=\"dictionary\">Commission<\/span>&#8217;s determination of the <span class=\"dictionary\">operator<\/span>&#8217;s reasonable return, in <span class=\"dictionary\">order<\/span> to ensure that a change in ownership or <span class=\"dictionary\">control<\/span> does not increase the level of the <span class=\"dictionary\">toll<\/span> above that level that would otherwise have been required under subsection D if the change in ownership or <span class=\"dictionary\">control<\/span> had not occurred. As used in this subsection, &#8220;<span class=\"dictionary\">control<\/span>&#8221; has the same meaning as provided in &#xA7; <a class=\"law\" title=\"Acquisition or disposition of control of a public utility\" href=\"\/56-88.1\/\">56-88.1<\/a>. <a id=\"paragraph-235647\" class=\"section-permalink\" href=\"https:\/\/vacode.org\/56-542\/#E\"><i class=\"fa fa-link\"><\/i><\/a><\/p><\/section>\n\t\t\t\t\t\t<section id=\"F\"><p><span class=\"prefix-number\">F.<\/span> Pursuant to &#xA7; <a class=\"law\" title=\"Inspection of books and documents; special reports; rules and regulations to prevent unjust discrimination\" href=\"\/56-36\/\">56-36<\/a>, the <span class=\"dictionary\">Commission<\/span> shall require an <span class=\"dictionary\">operator<\/span> to provide copies of annual audited financial statements for the <span class=\"dictionary\">operator<\/span>, together with a statement of the <span class=\"dictionary\">operator<\/span>&#8217;s ownership. The <span class=\"dictionary\">operator<\/span> shall file such statement within four months from the end of the <span class=\"dictionary\">operator<\/span>&#8217;s fiscal year. <a id=\"paragraph-235648\" class=\"section-permalink\" href=\"https:\/\/vacode.org\/56-542\/#F\"><i class=\"fa fa-link\"><\/i><\/a><\/p><\/section>\n\t\t\t\t\t\t<section id=\"G\"><p><span class=\"prefix-number\">G.<\/span> The proceeds and funding provided to the <span class=\"dictionary\">operator<\/span> from any future <span class=\"dictionary\">bond<\/span> indenture or similar credit agreement must be used for the purpose of refinancing existing debt, acquiring, designing, permitting, building, constructing, improving, equipping, modifying, maintaining, reconstructing, restoring, rehabilitating, or renewing the <span class=\"dictionary\">roadway<\/span> property, and for the purpose of paying reasonable arm&#8217;s-length fees, development costs, and expenses incurred by the <span class=\"dictionary\">operator<\/span> or a related individual or entity in executing such financial transaction, unless otherwise authorized by the <span class=\"dictionary\">Commission<\/span>. <a id=\"paragraph-235649\" class=\"section-permalink\" href=\"https:\/\/vacode.org\/56-542\/#G\"><i class=\"fa fa-link\"><\/i><\/a><\/p><\/section>\n\t\t\t\t\t\t<section id=\"H\"><p><span class=\"prefix-number\">H.<\/span> The <span class=\"dictionary\">Commission<\/span> may charge a reasonable annual fee to cover the costs of supervision and controlling the <span class=\"dictionary\">operator<\/span> in the performance of its duties under this chapter and pursuant to this section. <a id=\"paragraph-235650\" class=\"section-permalink\" href=\"https:\/\/vacode.org\/56-542\/#H\"><i class=\"fa fa-link\"><\/i><\/a><\/p><\/section>\n\t\t\t\t\t\t<section id=\"I\"><p><span class=\"prefix-number\">I.<\/span> Any agreement between the <span class=\"dictionary\">operator<\/span> and the <span class=\"dictionary\">Department<\/span> made pursuant to this chapter shall not be construed to alter the duties, obligations, or powers of the <span class=\"dictionary\">Commission<\/span> set forth in this chapter. <a id=\"paragraph-235651\" class=\"section-permalink\" href=\"https:\/\/vacode.org\/56-542\/#I\"><i class=\"fa fa-link\"><\/i><\/a><\/p><\/section>\n\t\t\t\t\t\t<section id=\"J\"><p><span class=\"prefix-number\">J.<\/span> Prior to refinancing existing debt, an <span class=\"dictionary\">operator<\/span> shall <span class=\"dictionary\">petition<\/span> the <span class=\"dictionary\">Commission<\/span> for approval to refinance such debt. The <span class=\"dictionary\">Commission<\/span> may approve such <span class=\"dictionary\">petition<\/span> only if the <span class=\"dictionary\">operator<\/span> demonstrates (i) that it has the financial capability to pay off the debt incurred in the refinancing over the term of the <span class=\"dictionary\">bond<\/span>, loan, or similar instrument; (ii) that the term of the <span class=\"dictionary\">bond<\/span>, loan, or similar instrument does not extend beyond the expiration of the <span class=\"dictionary\">operator<\/span>&#8217;s current <span class=\"dictionary\">certificate<\/span> of authority; (iii) that such refinancing will not increase <span class=\"dictionary\">toll<\/span> <span class=\"dictionary\">rates<\/span>; and (iv) that such refinancing is in the public interest. <a id=\"paragraph-235652\" class=\"section-permalink\" href=\"https:\/\/vacode.org\/56-542\/#J\"><i class=\"fa fa-link\"><\/i><\/a><\/p><\/section>","plain_text":"                                 CODE OF VIRGINIA\n\nPOWERS OF THE COMMISSION (\u00a7 56-542)\n\nA. As used in this section:\n\t\t\t&#8220;CPI&#8221; means the Consumer Price Index &#x2014; U.S. City Averages\nfor All Urban Consumers, All Items (not seasonally adjusted) as reported by the\nU.S. Department of Labor, Bureau of Labor Statistics; however, if the CPI is\nmodified such that the base year of the CPI changes, the CPI shall be converted\nin accordance with the conversion factor published by the U.S. Department of\nLabor, Bureau of Labor Statistics, and if the CPI is discontinued or revised,\nsuch other historical index or computation approved by the Commission shall be\nused for purposes of this section that would obtain substantially the same\nresult as would have been obtained if the CPI had not been discontinued or\nrevised.\n\t\t\t&#8220;Materially discourage use&#8221; means to cause a decrease in traffic\nof three or more percentage points based on either a change in potential toll\nroad users or a change in traffic attributable to the toll rate charged as\nvalidated by (i) an investment-grade travel demand model that takes population\ngrowth into consideration or (ii) in the case of an investigation into current\ntoll rates, an actual traffic study that takes population growth into\nconsideration.\n\t\t\t&#8220;Real GDP&#8221; means the Annual Real Gross Domestic Product as\nreported by the U.S. Department of Commerce, Bureau of Economic Analysis.\n\nB. The Commission shall have the power to regulate the operator under this title\nas a public service corporation. The Commission shall also have the power, and\nbe charged with the duties of reviewing and approving or denying the\napplication, of supervising and controlling the operator in the performance of\nits duties under this chapter and title, and of correcting any abuse in the\nperformance of the operator&#8217;s public duties.\n\nC. Pursuant to &#xA7; 56-36, the Commission shall require annually from the\noperator a verified report describing the nature of its contractual and other\nrelationships with individuals or entities contracting with the operator for the\nprovision of significant financial, construction, or maintenance services. The\nCommission shall review the report and such other materials as it shall deem\nnecessary for the purpose of determining improper or excessive costs, and shall\nexclude from the operator&#8217;s costs any amounts which it finds are improper\nor excessive. Included in such review shall be consideration of contractual\nrelationships between the operator and individuals or entities that are closely\nassociated or affiliated with the operator to assure that the terms of such\ncontractual relationships are no less favorable or unfavorable to the operator\nthan what it could obtain in an arm&#8217;s-length transaction.\n\nD. The Commission also shall have the duty and authority to approve or revise\nthe toll rates charged by the operator. Initial rates shall be approved if they\nappear reasonable to the user in relation to the benefit obtained, not likely to\nmaterially discourage use of the roadway, and provide the operator no more than\na reasonable return as determined by the Commission. Thereafter, the Commission,\nupon application, complaint or its own initiative, and after investigation, may\norder substituted for any toll being charged by the operator, a toll which is\nset at a level which is reasonable to the user in relation to the benefit\nobtained and which will not materially discourage use of the roadway by the\npublic and which will provide the operator no more than a reasonable return as\ndetermined by the Commission. Any proposed toll rates that fail to meet these\ncriteria as determined by the Commission are contrary to the public interest,\nand the Commission shall not approve such toll rates.\n\t\t\tAny application to increase toll rates shall include a forward-looking\nanalysis that demonstrates that the proposed toll rates will be reasonable to\nthe user in relation to the benefit obtained, not likely to materially\ndiscourage use of the roadway, and provide the operator no more than a\nreasonable return. Such forward-looking analysis shall include reasonable\nprojections of anticipated traffic levels, including the impact of social and\neconomic conditions anticipated during the time period that the proposed toll\nrates would be in effect. The Department shall review and provide comments upon\nthe analysis to the Commission. Notwithstanding any other provision of law, the\nCommission shall not approve more than one year of toll rate increases proposed\nby the operator.\n\nE. If a change in the ownership of the facility or change in control of an\noperator occurs, whether or not accompanied by the issuance of securities as\ndefined in subsection A of &#xA7; 56-57 and &#xA7; 56-65.1, the Commission, in\nany subsequent proceeding to set the level of a toll charged by the operator,\nshall ensure that the price paid in connection with the change in ownership or\ncontrol, and any costs and other factors attributable to or resulting from the\nchange in ownership or control, if they would contribute to an increase in the\nlevel of the toll, are excluded from the Commission&#8217;s determination of the\noperator&#8217;s reasonable return, in order to ensure that a change in\nownership or control does not increase the level of the toll above that level\nthat would otherwise have been required under subsection D if the change in\nownership or control had not occurred. As used in this subsection,\n&#8220;control&#8221; has the same meaning as provided in &#xA7; 56-88.1.\n\nF. Pursuant to &#xA7; 56-36, the Commission shall require an operator to provide\ncopies of annual audited financial statements for the operator, together with a\nstatement of the operator&#8217;s ownership. The operator shall file such\nstatement within four months from the end of the operator&#8217;s fiscal year.\n\nG. The Commission may charge a reasonable annual fee to cover the costs of\nsupervision and controlling the operator in the performance of its duties under\nthis chapter and pursuant to this section.\n\nI. Any agreement between the operator and the Department made pursuant to this\nchapter shall not be construed to alter the duties, obligations, or powers of\nthe Commission set forth in this chapter.\n\nJ. Prior to refinancing existing debt, an operator shall petition the Commission\nfor approval to refinance such debt.
