An individual shall not be deemed to acquire control of a licensee and shall not be subject to the provisions of this section solely because that individual becomes a key individual.B\n\nA person, or group of persons acting in concert, seeking to acquire control of a licensee shall, in cooperation with the licensee, submit (i) an application in a form and in a medium prescribed by the Commission and (ii) a nonrefundable fee of $1,000 with the request for approval.C\n\nUpon request, the Commission may permit a licensee or the person, or group of persons acting in concert, to submit some or all information required by the Commission without using NMLS.D\n\nThe application required by subsection B shall include the items required by &#xA7; 6.2-1932 for any new key individuals that have not previously completed the requirements of &#xA7; 6.2-1932 for a licensee.E\n\nWhen the Commission determines that an application is complete, the Commission shall promptly notify the applicant in a record of the date on which the application was determined to be complete and shall approve or deny the application within 60 days after the completion date. If the application is not approved or denied within 60 days after the completion date, the application shall be deemed approved and the person, or group of persons acting in concert, may acquire control. The Commission may for good cause extend the application period.F\n\nA determination by the Commission that an application is complete and is accepted for processing means only that the application, on its face, appears to include all of the items and address all of the matters that are required and is not an assessment of the substance of the application or of the sufficiency of the information provided.G\n\nIf any material information provided in connection with an application changes during the investigation period, the applicant shall immediately notify the Commission.H\n\nWhen an application is filed and considered complete under subsection E, the Commission shall investigate the financial condition and responsibility, financial and business experience, competence, character, and general fitness of (i) the person, or group of persons acting in concert, seeking to acquire control and (ii) each key individual and person in control of such person or group of persons acting in concert. The Commission shall approve an acquisition of control if the Commission finds that:1\n\nThe requirements of subsections B and D have been met, as applicable; and2\n\nThe financial condition and responsibility, financial and business experience, competence, character, and general fitness of the person, or group of persons acting in concert, seeking to acquire control, and the competence, experience, character, and general fitness of the proposed new key individuals and persons that would be in control of the licensee after the acquisition of control indicate that it is in the public interest to permit the person, or group of persons acting in concert, to control the licensee.I\n\nIf an applicant invokes or is otherwise subject to a multistate licensing process, (i) the Commission may accept the investigation results of a lead investigative state for the purpose of subsection H if the Commission finds that the lead investigative state has sufficient staffing, expertise, and minimum standards or (ii) if the Commonwealth is a lead investigative state, the Commission may investigate the applicant pursuant to subsection H and the timeframes established by agreement through the multistate licensing process.J\n\nThe Commission shall issue a formal written notice of the denial of an application to acquire control within 30 days of the decision to deny the application. The Commission shall set forth in the notice of denial the specific reasons for the denial of the application. An applicant whose application is denied by the Commission may appeal in accordance with applicable law.K\n\nThe requirements of subsections A and B do not apply to any of the following:1\n\nA person that acts as a proxy for the sole purpose of voting at a designated meeting of the shareholders or holders of voting shares or voting interests of a licensee or a person in control of a licensee;2\n\nA person that acquires control of a licensee by devise or descent;3\n\nA person that acquires control of a licensee as (i) a personal representative, custodian, guardian, conservator, or trustee or (ii) an officer appointed by a court of competent jurisdiction or by operation of law;4\n\nA person that is exempt under subdivision A 7 of &#xA7; 6.2-1923;5\n\nA person that the Commission determines is not subject to subsection A based on the public interest;6\n\nA public offering of securities of a licensee or a person in control of a licensee; or7\n\nAn internal reorganization of a person in control of the licensee where the ultimate person in control of the licensee remains the same.L\n\nPersons described in subdivisions K 2, 3, 4, 6, and 7 shall notify the Commission within 15 days after the acquisition of control.M\n\nThe requirements of subsections A and B do not apply to a person that has complied with and received approval to engage in money transmission under this chapter or was identified as a person in control in a prior application filed with and approved by the Commission under this chapter or by an MSB-accredited state pursuant to a multistate licensing process, provided that:1\n\nThe person has not had a license revoked or suspended or controlled a licensee that has had a license revoked or suspended while the person was in control of the licensee in the previous five years;2\n\nIf the person is a licensee, the Commission finds that the person is well-managed and has received at least a satisfactory rating for compliance at its most recent examination by an MSB-accredited state if such rating was given;3\n\nThe licensee to be acquired is projected to meet the requirements of &#xA7;&#xA7; 6.2-1950, 6.2-1951, and 6.2-1952 beginning on the date the acquisition of control is completed, and if the person acquiring control is a licensee, that licensee is also projected to meet the requirements of &#xA7;&#xA7; 6.2-1950, 6.2-1951, and 6.2-1952 beginning on the date the acquisition of control is completed;4\n\nThe licensee to be acquired will not implement any material changes to its business plan as a result of the acquisition of control, and if the person acquiring control is a licensee, that licensee also will not implement any material changes to its business plan as a result of the acquisition of control; and5\n\nThe person notifies the Commission of the acquisition in cooperation with the licensee and attests to subdivisions 1 through 4 in a form and in a medium prescribed by the Commission.\n\t\t\t\tIf such notice is not disapproved within 30 days after the date on which the notice was determined to be complete, the notice shall be deemed approved.N\n\nBefore filing an application for approval to acquire control of a licensee, a person may request in writing a determination from the Commission as to whether the person would be considered a person in control of a licensee upon consummation of a proposed transaction. If the Commission determines that the person would not be a person in control of a licensee, the person and transaction is not subject to the requirements of subsections A and B.O\n\nIf a multistate licensing process includes a determination pursuant to subsection N or the equivalent law of another state and a person invokes or is otherwise subject to the multistate licensing process, (i) the Commission may accept the control determination of a lead investigative state if the Commission finds that the lead investigative state has sufficient staffing, expertise, and minimum standards or (ii) if the Commonwealth is a lead investigative state, the Commission may investigate the person using the timeframes established by agreement through the multistate licensing process.P\n\nIf any person acquires an ownership interest in a licensee without obtaining prior approval from the Commission as required by this section, the Commission may for good cause shown order such person to divest himself or itself of such ownership interest.Q\n\nThe Commission shall not enter an order requiring divestiture pursuant to subsection P until it has given the person 21 days&#8217; notice in writing of the reasons for the proposed divestiture and has given the person an opportunity to introduce evidence and be heard. The notice shall be sent by certified mail to such person and shall state with particularity the grounds for the contemplated action. Within 14 days of mailing the notice, the person named therein may file with the clerk of the Commission a written request for a hearing. An individual shall not be deemed to acquire <span class=\"dictionary\">control<\/span> of a <span class=\"dictionary\">licensee<\/span> and shall not be subject to the provisions of this section solely because that individual becomes a <span class=\"dictionary\">key individual<\/span>. <a id=\"paragraph-233964\" class=\"section-permalink\" href=\"https:\/\/vacode.org\/6.2-1936\/#A\"><i class=\"fa fa-link\"><\/i><\/a><\/p><\/section>\n\t\t\t\t\t\t<section id=\"B\"><p><span class=\"prefix-number\">B.<\/span> A <span class=\"dictionary\">person<\/span>, or <span class=\"dictionary\">group of persons acting in concert<\/span>, seeking to acquire <span class=\"dictionary\">control<\/span> of a <span class=\"dictionary\">licensee<\/span> shall, in cooperation with the <span class=\"dictionary\">licensee<\/span>, submit (i) an application in a form and in a medium prescribed by the <span class=\"dictionary\">Commission<\/span> and (ii) a nonrefundable fee of $1,000 with the request for approval. <a id=\"paragraph-233965\" class=\"section-permalink\" href=\"https:\/\/vacode.org\/6.2-1936\/#B\"><i class=\"fa fa-link\"><\/i><\/a><\/p><\/section>\n\t\t\t\t\t\t<section id=\"C\"><p><span class=\"prefix-number\">C.<\/span> Upon request, the <span class=\"dictionary\">Commission<\/span> may permit a <span class=\"dictionary\">licensee<\/span> or the <span class=\"dictionary\">person<\/span>, or <span class=\"dictionary\">group of persons acting in concert<\/span>, to submit some or all information required by the <span class=\"dictionary\">Commission<\/span> without using <span class=\"dictionary\">NMLS<\/span>. <a id=\"paragraph-233966\" class=\"section-permalink\" href=\"https:\/\/vacode.org\/6.2-1936\/#C\"><i class=\"fa fa-link\"><\/i><\/a><\/p><\/section>\n\t\t\t\t\t\t<section id=\"D\"><p><span class=\"prefix-number\">D.<\/span> The application required by subsection B shall include the items required by &#xA7; <a class=\"law\" title=\"(Effective July 1, 2026) Information required for certain individuals\" href=\"\/6.2-1932\/\">6.2-1932<\/a> for any new <span class=\"dictionary\">key individuals<\/span> that have not previously completed the requirements of &#xA7; <a class=\"law\" title=\"(Effective July 1, 2026) Information required for certain individuals\" href=\"\/6.2-1932\/\">6.2-1932<\/a> for a <span class=\"dictionary\">licensee<\/span>. <a id=\"paragraph-233967\" class=\"section-permalink\" href=\"https:\/\/vacode.org\/6.2-1936\/#D\"><i class=\"fa fa-link\"><\/i><\/a><\/p><\/section>\n\t\t\t\t\t\t<section id=\"E\"><p><span class=\"prefix-number\">E.<\/span> When the <span class=\"dictionary\">Commission<\/span> determines that an application is complete, the <span class=\"dictionary\">Commission<\/span> shall promptly notify the applicant in a record of the date on which the application was determined to be complete and shall approve or deny the application within 60 days after the completion date. If the application is not approved or denied within 60 days after the completion date, the application shall be deemed approved and the <span class=\"dictionary\">person<\/span>, or <span class=\"dictionary\">group of persons acting in concert<\/span>, may acquire <span class=\"dictionary\">control<\/span>. The <span class=\"dictionary\">Commission<\/span> may for good cause extend the application period. <a id=\"paragraph-233968\" class=\"section-permalink\" href=\"https:\/\/vacode.org\/6.2-1936\/#E\"><i class=\"fa fa-link\"><\/i><\/a><\/p><\/section>\n\t\t\t\t\t\t<section id=\"F\"><p><span class=\"prefix-number\">F.<\/span> A determination by the <span class=\"dictionary\">Commission<\/span> that an application is complete and is accepted for processing means only that the application, on its face, appears to include all of the items and address all of the matters that are required and is not an assessment of the substance of the application or of the sufficiency of the information provided. <a id=\"paragraph-233969\" class=\"section-permalink\" href=\"https:\/\/vacode.org\/6.2-1936\/#F\"><i class=\"fa fa-link\"><\/i><\/a><\/p><\/section>\n\t\t\t\t\t\t<section id=\"G\"><p><span class=\"prefix-number\">G.<\/span> If any <span class=\"dictionary\">material<\/span> information provided in connection with an application changes during the investigation period, the applicant shall immediately notify the <span class=\"dictionary\">Commission<\/span>. <a id=\"paragraph-233970\" class=\"section-permalink\" href=\"https:\/\/vacode.org\/6.2-1936\/#G\"><i class=\"fa fa-link\"><\/i><\/a><\/p><\/section>\n\t\t\t\t\t\t<section id=\"H\"><p><span class=\"prefix-number\">H.<\/span> When an application is filed and considered complete under subsection E, the <span class=\"dictionary\">Commission<\/span> shall investigate the financial condition and responsibility, financial and business experience, competence, character, and general fitness of (i) the <span class=\"dictionary\">person<\/span>, or <span class=\"dictionary\">group of persons acting in concert<\/span>, seeking to acquire <span class=\"dictionary\">control<\/span> and (ii) each <span class=\"dictionary\">key individual<\/span> and <span class=\"dictionary\">person<\/span> in <span class=\"dictionary\">control<\/span> of such <span class=\"dictionary\">person<\/span> or <span class=\"dictionary\">group of persons acting in concert<\/span>. The <span class=\"dictionary\">Commission<\/span> shall approve an acquisition of <span class=\"dictionary\">control<\/span> if the <span class=\"dictionary\">Commission<\/span> finds that: <a id=\"paragraph-233971\" class=\"section-permalink\" href=\"https:\/\/vacode.org\/6.2-1936\/#H\"><i class=\"fa fa-link\"><\/i><\/a><\/p><\/section>\n\t\t\t\t\t\t<section id=\"H1\" class=\"indent-1\"><p><span class=\"prefix-number\">1.<\/span> The requirements of subsections B and D have been met, as applicable; and <a id=\"paragraph-233972\" class=\"section-permalink\" href=\"https:\/\/vacode.org\/6.2-1936\/#H1\"><i class=\"fa fa-link\"><\/i><\/a><\/p><\/section>\n\t\t\t\t\t\t<section id=\"H2\" class=\"indent-1\"><p><span class=\"prefix-number\">2.<\/span> The financial condition and responsibility, financial and business experience, competence, character, and general fitness of the <span class=\"dictionary\">person<\/span>, or <span class=\"dictionary\">group of persons acting in concert<\/span>, seeking to acquire <span class=\"dictionary\">control<\/span>, and the competence, experience, character, and general fitness of the proposed new <span class=\"dictionary\">key individuals<\/span> and persons that would be in <span class=\"dictionary\">control<\/span> of the <span class=\"dictionary\">licensee<\/span> after the acquisition of <span class=\"dictionary\">control<\/span> indicate that it is in the public interest to permit the <span class=\"dictionary\">person<\/span>, or <span class=\"dictionary\">group of persons acting in concert<\/span>, to <span class=\"dictionary\">control<\/span> the <span class=\"dictionary\">licensee<\/span>. <a id=\"paragraph-233973\" class=\"section-permalink\" href=\"https:\/\/vacode.org\/6.2-1936\/#H2\"><i class=\"fa fa-link\"><\/i><\/a><\/p><\/section>\n\t\t\t\t\t\t<section id=\"I\"><p><span class=\"prefix-number\">I.<\/span> If an applicant invokes or is otherwise subject to a <span class=\"dictionary\">multistate licensing process<\/span>, (i) the <span class=\"dictionary\">Commission<\/span> may accept the investigation results of a lead investigative state for the purpose of subsection H if the <span class=\"dictionary\">Commission<\/span> finds that the lead investigative state has sufficient staffing, expertise, and minimum standards or (ii) if the Commonwealth is a lead investigative state, the <span class=\"dictionary\">Commission<\/span> may investigate the applicant pursuant to subsection H and the timeframes established by agreement through the <span class=\"dictionary\">multistate licensing process<\/span>. <a id=\"paragraph-233974\" class=\"section-permalink\" href=\"https:\/\/vacode.org\/6.2-1936\/#I\"><i class=\"fa fa-link\"><\/i><\/a><\/p><\/section>\n\t\t\t\t\t\t<section id=\"J\"><p><span class=\"prefix-number\">J.<\/span> The <span class=\"dictionary\">Commission<\/span> shall <span class=\"dictionary\">issue<\/span> a formal written notice of the denial of an application to acquire <span class=\"dictionary\">control<\/span> within 30 days of the decision to deny the application. The <span class=\"dictionary\">Commission<\/span> shall set forth in the notice of denial the specific reasons for the denial of the application. An applicant whose application is denied by the <span class=\"dictionary\">Commission<\/span> may <span class=\"dictionary\">appeal<\/span> in accordance with applicable <span class=\"dictionary\">law<\/span>. <a id=\"paragraph-233975\" class=\"section-permalink\" href=\"https:\/\/vacode.org\/6.2-1936\/#J\"><i class=\"fa fa-link\"><\/i><\/a><\/p><\/section>\n\t\t\t\t\t\t<section id=\"K\"><p><span class=\"prefix-number\">K.<\/span> The requirements of subsections A and B do not apply to any of the following: <a id=\"paragraph-233976\" class=\"section-permalink\" href=\"https:\/\/vacode.org\/6.2-1936\/#K\"><i class=\"fa fa-link\"><\/i><\/a><\/p><\/section>\n\t\t\t\t\t\t<section id=\"K1\" class=\"indent-1\"><p><span class=\"prefix-number\">1.<\/span> A <span class=\"dictionary\">person<\/span> that acts as a proxy for the sole purpose of voting at a designated meeting of the shareholders or holders of voting shares or voting interests of a <span class=\"dictionary\">licensee<\/span> or a <span class=\"dictionary\">person<\/span> in <span class=\"dictionary\">control<\/span> of a <span class=\"dictionary\">licensee<\/span>; <a id=\"paragraph-233977\" class=\"section-permalink\" href=\"https:\/\/vacode.org\/6.2-1936\/#K1\"><i class=\"fa fa-link\"><\/i><\/a><\/p><\/section>\n\t\t\t\t\t\t<section id=\"K2\" class=\"indent-1\"><p><span class=\"prefix-number\">2.<\/span> A <span class=\"dictionary\">person<\/span> that acquires <span class=\"dictionary\">control<\/span> of a <span class=\"dictionary\">licensee<\/span> by devise or descent; <a id=\"paragraph-233978\" class=\"section-permalink\" href=\"https:\/\/vacode.org\/6.2-1936\/#K2\"><i class=\"fa fa-link\"><\/i><\/a><\/p><\/section>\n\t\t\t\t\t\t<section id=\"K3\" class=\"indent-1\"><p><span class=\"prefix-number\">3.<\/span> A <span class=\"dictionary\">person<\/span> that acquires <span class=\"dictionary\">control<\/span> of a <span class=\"dictionary\">licensee<\/span> as (i) a personal representative, custodian, guardian, conservator, or trustee or (ii) an officer appointed by a <span class=\"dictionary\">court<\/span> of competent <span class=\"dictionary\">jurisdiction<\/span> or by operation of <span class=\"dictionary\">law<\/span>; <a id=\"paragraph-233979\" class=\"section-permalink\" href=\"https:\/\/vacode.org\/6.2-1936\/#K3\"><i class=\"fa fa-link\"><\/i><\/a><\/p><\/section>\n\t\t\t\t\t\t<section id=\"K4\" class=\"indent-1\"><p><span class=\"prefix-number\">4.<\/span> A <span class=\"dictionary\">person<\/span> that is exempt under subdivision A 7 of &#xA7; <a class=\"law\" title=\"(Effective July 1, 2026) Exemptions\" href=\"\/6.2-1923\/\">6.2-1923<\/a>; <a id=\"paragraph-233980\" class=\"section-permalink\" href=\"https:\/\/vacode.org\/6.2-1936\/#K4\"><i class=\"fa fa-link\"><\/i><\/a><\/p><\/section>\n\t\t\t\t\t\t<section id=\"K5\" class=\"indent-1\"><p><span class=\"prefix-number\">5.<\/span> A <span class=\"dictionary\">person<\/span> that the <span class=\"dictionary\">Commission<\/span> determines is not subject to subsection A based on the public interest; <a id=\"paragraph-233981\" class=\"section-permalink\" href=\"https:\/\/vacode.org\/6.2-1936\/#K5\"><i class=\"fa fa-link\"><\/i><\/a><\/p><\/section>\n\t\t\t\t\t\t<section id=\"K6\" class=\"indent-1\"><p><span class=\"prefix-number\">6.<\/span> A public offering of securities of a <span class=\"dictionary\">licensee<\/span> or a <span class=\"dictionary\">person<\/span> in <span class=\"dictionary\">control<\/span> of a <span class=\"dictionary\">licensee<\/span>; or <a id=\"paragraph-233982\" class=\"section-permalink\" href=\"https:\/\/vacode.org\/6.2-1936\/#K6\"><i class=\"fa fa-link\"><\/i><\/a><\/p><\/section>\n\t\t\t\t\t\t<section id=\"K7\" class=\"indent-1\"><p><span class=\"prefix-number\">7.<\/span> An internal reorganization of a <span class=\"dictionary\">person<\/span> in <span class=\"dictionary\">control<\/span> of the <span class=\"dictionary\">licensee<\/span> where the ultimate <span class=\"dictionary\">person<\/span> in <span class=\"dictionary\">control<\/span> of the <span class=\"dictionary\">licensee<\/span> remains the same. <a id=\"paragraph-233983\" class=\"section-permalink\" href=\"https:\/\/vacode.org\/6.2-1936\/#K7\"><i class=\"fa fa-link\"><\/i><\/a><\/p><\/section>\n\t\t\t\t\t\t<section id=\"L\"><p><span class=\"prefix-number\">L.<\/span> Persons described in subdivisions K 2, 3, 4, 6, and 7 shall notify the <span class=\"dictionary\">Commission<\/span> within 15 days after the acquisition of <span class=\"dictionary\">control<\/span>. <a id=\"paragraph-233984\" class=\"section-permalink\" href=\"https:\/\/vacode.org\/6.2-1936\/#L\"><i class=\"fa fa-link\"><\/i><\/a><\/p><\/section>\n\t\t\t\t\t\t<section id=\"M\"><p><span class=\"prefix-number\">M.<\/span> The requirements of subsections A and B do not apply to a <span class=\"dictionary\">person<\/span> that has complied with and received approval to engage in <span class=\"dictionary\">money transmission<\/span> under this chapter or was identified as a <span class=\"dictionary\">person<\/span> in <span class=\"dictionary\">control<\/span> in a prior application filed with and approved by the <span class=\"dictionary\">Commission<\/span> under this chapter or by an <span class=\"dictionary\">MSB-accredited state<\/span> pursuant to a <span class=\"dictionary\">multistate licensing process<\/span>, provided that: <a id=\"paragraph-233985\" class=\"section-permalink\" href=\"https:\/\/vacode.org\/6.2-1936\/#M\"><i class=\"fa fa-link\"><\/i><\/a><\/p><\/section>\n\t\t\t\t\t\t<section id=\"M1\" class=\"indent-1\"><p><span class=\"prefix-number\">1.<\/span> The <span class=\"dictionary\">person<\/span> has not had a license revoked or suspended or controlled a <span class=\"dictionary\">licensee<\/span> that has had a license revoked or suspended while the <span class=\"dictionary\">person<\/span> was in <span class=\"dictionary\">control<\/span> of the <span class=\"dictionary\">licensee<\/span> in the previous five years; <a id=\"paragraph-233986\" class=\"section-permalink\" href=\"https:\/\/vacode.org\/6.2-1936\/#M1\"><i class=\"fa fa-link\"><\/i><\/a><\/p><\/section>\n\t\t\t\t\t\t<section id=\"M2\" class=\"indent-1\"><p><span class=\"prefix-number\">2.<\/span> If the <span class=\"dictionary\">person<\/span> is a <span class=\"dictionary\">licensee<\/span>, the <span class=\"dictionary\">Commission<\/span> finds that the <span class=\"dictionary\">person<\/span> is well-managed and has received at least a satisfactory rating for compliance at its most recent examination by an <span class=\"dictionary\">MSB-accredited state<\/span> if such rating was given; <a id=\"paragraph-233987\" class=\"section-permalink\" href=\"https:\/\/vacode.org\/6.2-1936\/#M2\"><i class=\"fa fa-link\"><\/i><\/a><\/p><\/section>\n\t\t\t\t\t\t<section id=\"M3\" class=\"indent-1\"><p><span class=\"prefix-number\">3.<\/span> The <span class=\"dictionary\">licensee<\/span> to be acquired is projected to meet the requirements of &#xA7;&#xA7; <a class=\"law\" title=\"(Effective July 1, 2026) Net worth\" href=\"\/6.2-1950\/\">6.2-1950<\/a>, <a class=\"law\" title=\"(Effective July 1, 2026) Surety bond\" href=\"\/6.2-1951\/\">6.2-1951<\/a>, and <a class=\"law\" title=\"(Effective July 1, 2026) Maintenance of permissible investments\" href=\"\/6.2-1952\/\">6.2-1952<\/a> beginning on the date the acquisition of <span class=\"dictionary\">control<\/span> is completed, and if the <span class=\"dictionary\">person<\/span> acquiring <span class=\"dictionary\">control<\/span> is a <span class=\"dictionary\">licensee<\/span>, that <span class=\"dictionary\">licensee<\/span> is also projected to meet the requirements of &#xA7;&#xA7; <a class=\"law\" title=\"(Effective July 1, 2026) Net worth\" href=\"\/6.2-1950\/\">6.2-1950<\/a>, <a class=\"law\" title=\"(Effective July 1, 2026) Surety bond\" href=\"\/6.2-1951\/\">6.2-1951<\/a>, and <a class=\"law\" title=\"(Effective July 1, 2026) Maintenance of permissible investments\" href=\"\/6.2-1952\/\">6.2-1952<\/a> beginning on the date the acquisition of <span class=\"dictionary\">control<\/span> is completed; <a id=\"paragraph-233988\" class=\"section-permalink\" href=\"https:\/\/vacode.org\/6.2-1936\/#M3\"><i class=\"fa fa-link\"><\/i><\/a><\/p><\/section>\n\t\t\t\t\t\t<section id=\"M4\" class=\"indent-1\"><p><span class=\"prefix-number\">4.<\/span> The <span class=\"dictionary\">licensee<\/span> to be acquired will not implement any <span class=\"dictionary\">material<\/span> changes to its business plan as a result of the acquisition of <span class=\"dictionary\">control<\/span>, and if the <span class=\"dictionary\">person<\/span> acquiring <span class=\"dictionary\">control<\/span> is a <span class=\"dictionary\">licensee<\/span>, that <span class=\"dictionary\">licensee<\/span> also will not implement any <span class=\"dictionary\">material<\/span> changes to its business plan as a result of the acquisition of <span class=\"dictionary\">control<\/span>; and <a id=\"paragraph-233989\" class=\"section-permalink\" href=\"https:\/\/vacode.org\/6.2-1936\/#M4\"><i class=\"fa fa-link\"><\/i><\/a><\/p><\/section>\n\t\t\t\t\t\t<section id=\"M5\" class=\"indent-1\"><p><span class=\"prefix-number\">5.<\/span> The <span class=\"dictionary\">person<\/span> notifies the <span class=\"dictionary\">Commission<\/span> of the acquisition in cooperation with the <span class=\"dictionary\">licensee<\/span> and attests to subdivisions 1 through 4 in a form and in a medium prescribed by the <span class=\"dictionary\">Commission<\/span>.\n\t\t\t\tIf such notice is not disapproved within 30 days after the date on which the notice was determined to be complete, the notice shall be deemed approved. <a id=\"paragraph-233990\" class=\"section-permalink\" href=\"https:\/\/vacode.org\/6.2-1936\/#M5\"><i class=\"fa fa-link\"><\/i><\/a><\/p><\/section>\n\t\t\t\t\t\t<section id=\"N\"><p><span class=\"prefix-number\">N.<\/span> Before filing an application for approval to acquire <span class=\"dictionary\">control<\/span> of a <span class=\"dictionary\">licensee<\/span>, a <span class=\"dictionary\">person<\/span> may request in writing a determination from the <span class=\"dictionary\">Commission<\/span> as to whether the <span class=\"dictionary\">person<\/span> would be considered a <span class=\"dictionary\">person<\/span> in <span class=\"dictionary\">control<\/span> of a <span class=\"dictionary\">licensee<\/span> upon consummation of a proposed transaction. If the <span class=\"dictionary\">Commission<\/span> determines that the <span class=\"dictionary\">person<\/span> would not be a <span class=\"dictionary\">person<\/span> in <span class=\"dictionary\">control<\/span> of a <span class=\"dictionary\">licensee<\/span>, the <span class=\"dictionary\">person<\/span> and transaction is not subject to the requirements of subsections A and B. <a id=\"paragraph-233991\" class=\"section-permalink\" href=\"https:\/\/vacode.org\/6.2-1936\/#N\"><i class=\"fa fa-link\"><\/i><\/a><\/p><\/section>\n\t\t\t\t\t\t<section id=\"O\"><p><span class=\"prefix-number\">O.<\/span> If a <span class=\"dictionary\">multistate licensing process<\/span> includes a determination pursuant to subsection N or the equivalent <span class=\"dictionary\">law<\/span> of another state and a <span class=\"dictionary\">person<\/span> invokes or is otherwise subject to the <span class=\"dictionary\">multistate licensing process<\/span>, (i) the <span class=\"dictionary\">Commission<\/span> may accept the <span class=\"dictionary\">control<\/span> determination of a lead investigative state if the <span class=\"dictionary\">Commission<\/span> finds that the lead investigative state has sufficient staffing, expertise, and minimum standards or (ii) if the Commonwealth is a lead investigative state, the <span class=\"dictionary\">Commission<\/span> may investigate the <span class=\"dictionary\">person<\/span> using the timeframes established by agreement through the <span class=\"dictionary\">multistate licensing process<\/span>. <a id=\"paragraph-233992\" class=\"section-permalink\" href=\"https:\/\/vacode.org\/6.2-1936\/#O\"><i class=\"fa fa-link\"><\/i><\/a><\/p><\/section>\n\t\t\t\t\t\t<section id=\"P\"><p><span class=\"prefix-number\">P.<\/span> If any <span class=\"dictionary\">person<\/span> acquires an ownership interest in a <span class=\"dictionary\">licensee<\/span> without obtaining prior approval from the <span class=\"dictionary\">Commission<\/span> as required by this section, the <span class=\"dictionary\">Commission<\/span> may for good cause shown <span class=\"dictionary\">order<\/span> such <span class=\"dictionary\">person<\/span> to divest himself or itself of such ownership interest. <a id=\"paragraph-233993\" class=\"section-permalink\" href=\"https:\/\/vacode.org\/6.2-1936\/#P\"><i class=\"fa fa-link\"><\/i><\/a><\/p><\/section>\n\t\t\t\t\t\t<section id=\"Q\"><p><span class=\"prefix-number\">Q.<\/span> The <span class=\"dictionary\">Commission<\/span> shall not enter an <span class=\"dictionary\">order<\/span> requiring divestiture pursuant to subsection P until it has given the <span class=\"dictionary\">person<\/span> 21 days&#8217; notice in writing of the reasons for the proposed divestiture and has given the <span class=\"dictionary\">person<\/span> an opportunity to introduce <span class=\"dictionary\">evidence<\/span> and be heard. The notice shall be sent by certified mail to such <span class=\"dictionary\">person<\/span> and shall state with particularity the grounds for the contemplated action. Within 14 days of mailing the notice, the <span class=\"dictionary\">person<\/span> named therein may file with the clerk of the <span class=\"dictionary\">Commission<\/span> a written request for a <span class=\"dictionary\">hearing<\/span>. If a <span class=\"dictionary\">hearing<\/span> is requested, the <span class=\"dictionary\">Commission<\/span> shall not require divestiture except based upon <span class=\"dictionary\">findings<\/span> made at such <span class=\"dictionary\">hearing<\/span>. <a id=\"paragraph-233994\" class=\"section-permalink\" href=\"https:\/\/vacode.org\/6.2-1936\/#Q\"><i class=\"fa fa-link\"><\/i><\/a><\/p><\/section>","plain_text":"                                 CODE OF VIRGINIA\n\n(EFFECTIVE JULY 1, 2026) ACQUISITION OF CONTROL (\u00a7 6.2-1936)\n\nA. Any person, or group of persons acting in concert, seeking to acquire control\nof a licensee shall obtain the written approval of the Commission prior to\nacquiring control. An individual shall not be deemed to acquire control of a\nlicensee and shall not be subject to the provisions of this section solely\nbecause that individual becomes a key individual.\n\nB. A person, or group of persons acting in concert, seeking to acquire control\nof a licensee shall, in cooperation with the licensee, submit (i) an application\nin a form and in a medium prescribed by the Commission and (ii) a nonrefundable\nfee of $1,000 with the request for approval.\n\nC. Upon request, the Commission may permit a licensee or the person, or group of\npersons acting in concert, to submit some or all information required by the\nCommission without using NMLS.\n\nD. The application required by subsection B shall include the items required by\n&#xA7; 6.2-1932 for any new key individuals that have not previously completed\nthe requirements of &#xA7; 6.2-1932 for a licensee.\n\nE. When the Commission determines that an application is complete, the\nCommission shall promptly notify the applicant in a record of the date on which\nthe application was determined to be complete and shall approve or deny the\napplication within 60 days after the completion date. If the application is not\napproved or denied within 60 days after the completion date, the application\nshall be deemed approved and the person, or group of persons acting in concert,\nmay acquire control. The Commission may for good cause extend the application\nperiod.\n\nF. A determination by the Commission that an application is complete and is\naccepted for processing means only that the application, on its face, appears to\ninclude all of the items and address all of the matters that are required and is\nnot an assessment of the substance of the application or of the sufficiency of\nthe information provided.\n\nG. If any material information provided in connection with an application\nchanges during the investigation period, the applicant shall immediately notify\nthe Commission.\n\nH. When an application is filed and considered complete under subsection E, the\nCommission shall investigate the financial condition and responsibility,\nfinancial and business experience, competence, character, and general fitness of\n(i) the person, or group of persons acting in concert, seeking to acquire\ncontrol and (ii) each key individual and person in control of such person or\ngroup of persons acting in concert. The Commission shall approve an acquisition\nof control if the Commission finds that:\n\n   1. The requirements of subsections B and D have been met, as applicable; and\n\n   2. The financial condition and responsibility, financial and business\n   experience, competence, character, and general fitness of the person, or group\n   of persons acting in concert, seeking to acquire control, and the competence,\n   experience, character, and general fitness of the proposed new key individuals\n   and persons that would be in control of the licensee after the acquisition of\n   control indicate that it is in the public interest to permit the person, or\n   group of persons acting in concert, to control the licensee.\n\nI. If an applicant invokes or is otherwise subject to a multistate licensing\nprocess, (i) the Commission may accept the investigation results of a lead\ninvestigative state for the purpose of subsection H if the Commission finds that\nthe lead investigative state has sufficient staffing, expertise, and minimum\nstandards or (ii) if the Commonwealth is a lead investigative state, the\nCommission may investigate the applicant pursuant to subsection H and the\ntimeframes established by agreement through the multistate licensing process.\n\nJ. The Commission shall issue a formal written notice of the denial of an\napplication to acquire control within 30 days of the decision to deny the\napplication. The Commission shall set forth in the notice of denial the specific\nreasons for the denial of the application. An applicant whose application is\ndenied by the Commission may appeal in accordance with applicable law.\n\nK. The requirements of subsections A and B do not apply to any of the following:\n\n   1. A person that acts as a proxy for the sole purpose of voting at a\n   designated meeting of the shareholders or holders of voting shares or voting\n   interests of a licensee or a person in control of a licensee;\n\n   2. A person that acquires control of a licensee by devise or descent;\n\n   3. A person that acquires control of a licensee as (i) a personal\n   representative, custodian, guardian, conservator, or trustee or (ii) an\n   officer appointed by a court of competent jurisdiction or by operation of law;\n\n   4. A person that is exempt under subdivision A 7 of &#xA7; 6.2-1923;\n\n   5. A person that the Commission determines is not subject to subsection A\n   based on the public interest;\n\n   6. A public offering of securities of a licensee or a person in control of a\n   licensee; or\n\n   7. An internal reorganization of a person in control of the licensee where the\n   ultimate person in control of the licensee remains the same.\n\nL. Persons described in subdivisions K 2, 3, 4, 6, and 7 shall notify the\nCommission within 15 days after the acquisition of control.\n\nM. The requirements of subsections A and B do not apply to a person that has\ncomplied with and received approval to engage in money transmission under this\nchapter or was identified as a person in control in a prior application filed\nwith and approved by the Commission under this chapter or by an MSB-accredited\nstate pursuant to a multistate licensing process, provided that:\n\n   1. The person has not had a license revoked or suspended or controlled a\n   licensee that has had a license revoked or suspended while the person was in\n   control of the licensee in the previous five years;\n\n   2. If the person is a licensee, the Commission finds that the person is\n   well-managed and has received at least a satisfactory rating for compliance at\n   its most recent examination by an MSB-accredited state if such rating was\n   given;\n\n   3. The licensee to be acquired is projected to meet the requirements of\n   &#xA7;&#xA7; 6.2-1950, 6.2-1951, and 6.2-1952 beginning on the date the\n   acquisition of control is completed, and if the person acquiring control is a\n   licensee, that licensee is also projected to meet the requirements of\n   &#xA7;&#xA7; 6.2-1950, 6.2-1951, and 6.2-1952 beginning on the date the\n   acquisition of control is completed;\n\n   4. The licensee to be acquired will not implement any material changes to its\n   business plan as a result of the acquisition of control, and if the person\n   acquiring control is a licensee, that licensee also will not implement any\n   material changes to its business plan as a result of the acquisition of\n   control; and\n\n   5. The person notifies the Commission of the acquisition in cooperation with\n   the licensee and attests to subdivisions 1 through 4 in a form and in a medium\n   prescribed by the Commission.\n   \t\t\t\tIf such notice is not disapproved within 30 days after the date on which\n   the notice was determined to be complete, the notice shall be deemed approved.\n\nN. Before filing an application for approval to acquire control of a licensee, a\nperson may request in writing a determination from the Commission as to whether\nthe person would be considered a person in control of a licensee upon\nconsummation of a proposed transaction. If the Commission determines that the\nperson would not be a person in control of a licensee, the person and\ntransaction is not subject to the requirements of subsections A and B.\n\nO. If a multistate licensing process includes a determination pursuant to\nsubsection N or the equivalent law of another state and a person invokes or is\notherwise subject to the multistate licensing process, (i) the Commission may\naccept the control determination of a lead investigative state if the Commission\nfinds that the lead investigative state has sufficient staffing, expertise, and\nminimum standards or (ii) if the Commonwealth is a lead investigative state, the\nCommission may investigate the person using the timeframes established by\nagreement through the multistate licensing process.\n\nP. If any person acquires an ownership interest in a licensee without obtaining\nprior approval from the Commission as required by this section, the Commission\nmay for good cause shown order such person to divest himself or itself of such\nownership interest.\n\nQ. The Commission shall not enter an order requiring divestiture pursuant to\nsubsection P until it has given the person 21 days&#8217; notice in writing of\nthe reasons for the proposed divestiture and has given the person an opportunity\nto introduce evidence and be heard. The notice shall be sent by certified mail\nto such person and shall state with particularity the grounds for the\ncontemplated action. Within 14 days of mailing the notice, the person named\ntherein may file with the clerk of the Commission a written request for a\nhearing.
