The term includes a person who requests an issuer to issue a letter of credit on behalf of another if the person making the request undertakes an obligation to reimburse the issuer.3\n\n&#8220;Beneficiary&#8221; means a person who under the terms of a letter of credit is entitled to have its complying presentation honored. The term includes a person to whom drawing rights have been transferred under a transferable letter of credit.4\n\n&#8220;Confirmer&#8221; means a nominated person who undertakes, at the request or with the consent of the issuer, to honor a presentation under a letter of credit issued by another.5\n\n&#8220;Dishonor&#8221; of a letter of credit means failure timely to honor or to take an interim action, such as acceptance of a draft, that may be required by the letter of credit.6\n\n&#8220;Document&#8221; means a draft or other demand, document of title, investment security, certificate, invoice, or other record, statement, or representation of fact, law, right, or opinion (i) which is presented in a written or other medium permitted by the letter of credit or, unless prohibited by the letter of credit, by the standard practice referred to in &#xA7; 8.5A-108(e) and (ii) which is capable of being examined for compliance with the terms and conditions of the letter of credit. A document may not be oral.7\n\n&#8220;Good faith&#8221; means honesty in fact in the conduct or transaction concerned.8\n\n&#8220;Honor&#8221; of a letter of credit means performance of the issuer&#8217;s undertaking in the letter of credit to pay or deliver an item of value. A <span class=\"dictionary\">document<\/span> may not be oral. <a id=\"paragraph-246732\" class=\"section-permalink\" href=\"https:\/\/vacode.org\/8.5A-102\/#a6\"><i class=\"fa fa-link\"><\/i><\/a><\/p><\/section>\n\t\t\t\t\t\t<section id=\"a7\" class=\"indent-1\"><p><span class=\"prefix-number\">7.<\/span> &#8220;<span class=\"dictionary\">Good faith<\/span>&#8221; means honesty in <span class=\"dictionary\">fact<\/span> in the conduct or transaction concerned. <a id=\"paragraph-246733\" class=\"section-permalink\" href=\"https:\/\/vacode.org\/8.5A-102\/#a7\"><i class=\"fa fa-link\"><\/i><\/a><\/p><\/section>\n\t\t\t\t\t\t<section id=\"a8\" class=\"indent-1\"><p><span class=\"prefix-number\">8.<\/span> &#8220;<span class=\"dictionary\">Honor<\/span>&#8221; of a <span class=\"dictionary\">letter of credit<\/span> means performance of the <span class=\"dictionary\">issuer<\/span>&#8217;s undertaking in the <span class=\"dictionary\">letter of credit<\/span> to pay or deliver an item of value. Unless the <span class=\"dictionary\">letter of credit<\/span> otherwise provides, &#8220;<span class=\"dictionary\">honor<\/span>&#8221; occurs: <a id=\"paragraph-246734\" class=\"section-permalink\" href=\"https:\/\/vacode.org\/8.5A-102\/#a8\"><i class=\"fa fa-link\"><\/i><\/a><\/p><\/section>\n\t\t\t\t\t\t<section id=\"i\"><p><span class=\"prefix-number\">i.<\/span> upon payment; <a id=\"paragraph-246735\" class=\"section-permalink\" href=\"https:\/\/vacode.org\/8.5A-102\/#i\"><i class=\"fa fa-link\"><\/i><\/a><\/p><\/section>\n\t\t\t\t\t\t<section id=\"iii\" class=\"indent-1\"><p><span class=\"prefix-number\">ii.<\/span> if the <span class=\"dictionary\">letter of credit<\/span> provides for acceptance, upon acceptance of a draft and, at maturity, its payment; or <a id=\"paragraph-246736\" class=\"section-permalink\" href=\"https:\/\/vacode.org\/8.5A-102\/#iii\"><i class=\"fa fa-link\"><\/i><\/a><\/p><\/section>\n\t\t\t\t\t\t<section id=\"iiii\" class=\"indent-1\"><p><span class=\"prefix-number\">iii.<\/span> if the <span class=\"dictionary\">letter of credit<\/span> provides for incurring a deferred obligation, upon incurring the obligation and, at maturity, its performance. <a id=\"paragraph-246737\" class=\"section-permalink\" href=\"https:\/\/vacode.org\/8.5A-102\/#iiii\"><i class=\"fa fa-link\"><\/i><\/a><\/p><\/section>\n\t\t\t\t\t\t<section id=\"i9\" class=\"indent-1\"><p><span class=\"prefix-number\">9.<\/span> &#8220;<span class=\"dictionary\">Issuer<\/span>&#8221; means a bank or other person that <span class=\"dictionary\">issues<\/span> a <span class=\"dictionary\">letter of credit<\/span>, but does not include an individual who makes an engagement for personal, family, or household purposes. <a id=\"paragraph-246738\" class=\"section-permalink\" href=\"https:\/\/vacode.org\/8.5A-102\/#i9\"><i class=\"fa fa-link\"><\/i><\/a><\/p><\/section>\n\t\t\t\t\t\t<section id=\"i10\" class=\"indent-1\"><p><span class=\"prefix-number\">10.<\/span> &#8220;<span class=\"dictionary\">Letter of credit<\/span>&#8221; means a definite undertaking that satisfies the requirements of &#xA7; <a class=\"law\" title=\"Formal requirements\" href=\"\/8.5A-104\/\">8.5A-104<\/a> by an <span class=\"dictionary\">issuer<\/span> to a <span class=\"dictionary\">beneficiary<\/span> at the request or for the account of an <span class=\"dictionary\">applicant<\/span> or, in the case of a financial institution, to itself or for its own account, to <span class=\"dictionary\">honor<\/span> a documentary <span class=\"dictionary\">presentation<\/span> by payment or delivery of an item of value. <a id=\"paragraph-246739\" class=\"section-permalink\" href=\"https:\/\/vacode.org\/8.5A-102\/#i10\"><i class=\"fa fa-link\"><\/i><\/a><\/p><\/section>\n\t\t\t\t\t\t<section id=\"i11\" class=\"indent-1\"><p><span class=\"prefix-number\">11.<\/span> &#8220;<span class=\"dictionary\">Nominated person<\/span>&#8221; means a person whom the <span class=\"dictionary\">issuer<\/span> (i) designates or authorizes to pay, accept, negotiate, or otherwise give value under a <span class=\"dictionary\">letter of credit<\/span> and (ii) undertakes by agreement or custom and practice to reimburse. <a id=\"paragraph-246740\" class=\"section-permalink\" href=\"https:\/\/vacode.org\/8.5A-102\/#i11\"><i class=\"fa fa-link\"><\/i><\/a><\/p><\/section>\n\t\t\t\t\t\t<section id=\"i12\" class=\"indent-1\"><p><span class=\"prefix-number\">12.<\/span> &#8220;<span class=\"dictionary\">Presentation<\/span>&#8221; means delivery of a <span class=\"dictionary\">document<\/span> to an <span class=\"dictionary\">issuer<\/span> or <span class=\"dictionary\">nominated person<\/span> for <span class=\"dictionary\">honor<\/span> or giving of value under a <span class=\"dictionary\">letter of credit<\/span>. <a id=\"paragraph-246741\" class=\"section-permalink\" href=\"https:\/\/vacode.org\/8.5A-102\/#i12\"><i class=\"fa fa-link\"><\/i><\/a><\/p><\/section>\n\t\t\t\t\t\t<section id=\"i13\" class=\"indent-1\"><p><span class=\"prefix-number\">13.<\/span> &#8220;<span class=\"dictionary\">Presenter<\/span>&#8221; means a person making a <span class=\"dictionary\">presentation<\/span> as or on behalf of a <span class=\"dictionary\">beneficiary<\/span> or <span class=\"dictionary\">nominated person<\/span>. <a id=\"paragraph-246742\" class=\"section-permalink\" href=\"https:\/\/vacode.org\/8.5A-102\/#i13\"><i class=\"fa fa-link\"><\/i><\/a><\/p><\/section>\n\t\t\t\t\t\t<section id=\"i14\" class=\"indent-1\"><p><span class=\"prefix-number\">14.<\/span> &#8220;<span class=\"dictionary\">Record<\/span>&#8221; means information that is inscribed on a tangible medium, or that is stored in an electronic or other medium and is retrievable in perceivable form. <a id=\"paragraph-246743\" class=\"section-permalink\" href=\"https:\/\/vacode.org\/8.5A-102\/#i14\"><i class=\"fa fa-link\"><\/i><\/a><\/p><\/section>\n\t\t\t\t\t\t<section id=\"i15\" class=\"indent-1\"><p><span class=\"prefix-number\">15.<\/span> &#8220;<span class=\"dictionary\">Successor of a beneficiary<\/span>&#8221; means a person who succeeds to substantially all of the rights of a beneficiary by operation of <span class=\"dictionary\">law<\/span>, including a corporation with or into which the beneficiary has been merged or consolidated, an administrator, executor, personal representative, trustee in <span class=\"dictionary\">bankruptcy<\/span>, debtor in <span class=\"dictionary\">possession<\/span>, liquidator, and receiver. <a id=\"paragraph-246744\" class=\"section-permalink\" href=\"https:\/\/vacode.org\/8.5A-102\/#i15\"><i class=\"fa fa-link\"><\/i><\/a><\/p><\/section>\n\t\t\t\t\t\t<section id=\"b\"><p><span class=\"prefix-number\">b.<\/span> Definitions in other titles applying to this title and the sections in which they appear are:\n\t\t\t&#8220;Accept&#8221; In this title:\n\n   1. &#8220;Adviser&#8221; means a person who, at the request of the issuer, a\n   confirmer, or another adviser, notifies or requests another adviser to notify\n   the beneficiary that a letter of credit has been issued, confirmed, or\n   amended.\n\n   2. &#8220;Applicant&#8221; means a person at whose request or for whose\n   account a letter of credit is issued. The term includes a person who requests\n   an issuer to issue a letter of credit on behalf of another if the person\n   making the request undertakes an obligation to reimburse the issuer.\n\n   3. &#8220;Beneficiary&#8221; means a person who under the terms of a letter of\n   credit is entitled to have its complying presentation honored. The term\n   includes a person to whom drawing rights have been transferred under a\n   transferable letter of credit.\n\n   4. &#8220;Confirmer&#8221; means a nominated person who undertakes, at the\n   request or with the consent of the issuer, to honor a presentation under a\n   letter of credit issued by another.\n\n   5. &#8220;Dishonor&#8221; of a letter of credit means failure timely to honor\n   or to take an interim action, such as acceptance of a draft, that may be\n   required by the letter of credit.\n\n   6. &#8220;Document&#8221; means a draft or other demand, document of title,\n   investment security, certificate, invoice, or other record, statement, or\n   representation of fact, law, right, or opinion (i) which is presented in a\n   written or other medium permitted by the letter of credit or, unless\n   prohibited by the letter of credit, by the standard practice referred to in\n   &#xA7; 8.5A-108(e) and (ii) which is capable of being examined for compliance\n   with the terms and conditions of the letter of credit.
