A secured party has control of an authoritative electronic copy of a record evidencing chattel paper if a system employed for evidencing the assignment of interests in the chattel paper reliably establishes the purchaser as the person to which the authoritative electronic copy was assigned.b\n\nSingle authoritative copy. A system satisfies subsection (a) if the record or records evidencing the chattel paper are created, stored, and assigned in a manner that:1\n\na single authoritative copy of the record or records exists which is unique, identifiable, and, except as otherwise provided in paragraphs (4), (5), and (6), unalterable;2\n\nthe authoritative copy identifies the purchaser as the assignee of the record or records;3\n\nthe authoritative copy is communicated to and maintained by the purchaser or its designated custodian;4\n\ncopies or amendments that add or change an identified assignee of the authoritative copy can be made only with the consent of the purchaser;5\n\neach copy of the authoritative copy and any copy of a copy is readily identifiable as a copy that is not the authoritative copy; and6\n\nany amendment of the authoritative copy is readily identifiable as authorized or unauthorized.c\n\nOne or more authoritative copies. A system satisfies subsection (a), and a purchaser has control of an authoritative electronic copy of a record evidencing chattel paper, if the electronic copy, a record attached to or logically associated with the electronic copy, or a system in which the electronic copy is recorded:1\n\nenables the purchaser readily to identify each electronic copy as either an authoritative copy or a nonauthoritative copy;2\n\nenables the purchaser readily to identify itself in any way, including by name, identifying number, cryptographic key, office, or account number, as the assignee of the authoritative electronic copy; and3\n\ngives the purchaser exclusive power, subject to subsection (d), to:A\n\nprevent others from adding or changing an identified assignee of the authoritative electronic copy; andB\n\ntransfer control of the authoritative electronic copy.d\n\nMeaning of exclusive. A system satisfies subsection (a), and a purchaser has control of an authoritative electronic copy of a record evidencing chattel paper, if the electronic copy, a record attached to or logically associated with the electronic copy, or a system in which the electronic copy is recorded: <a id=\"paragraph-303293\" class=\"section-permalink\" href=\"https:\/\/vacode.org\/8.9A-105\/#c\"><i class=\"fa fa-link\"><\/i><\/a><\/p><\/section>\n\t\t\t\t\t\t<section id=\"c1\" class=\"indent-1\"><p><span class=\"prefix-number\">1.<\/span> enables the purchaser readily to identify each electronic copy as either an authoritative copy or a nonauthoritative copy; <a id=\"paragraph-303294\" class=\"section-permalink\" href=\"https:\/\/vacode.org\/8.9A-105\/#c1\"><i class=\"fa fa-link\"><\/i><\/a><\/p><\/section>\n\t\t\t\t\t\t<section id=\"c2\" class=\"indent-1\"><p><span class=\"prefix-number\">2.<\/span> enables the purchaser readily to identify itself in any way, including by name, identifying number, cryptographic key, office, or account number, as the assignee of the authoritative electronic copy; and <a id=\"paragraph-303295\" class=\"section-permalink\" href=\"https:\/\/vacode.org\/8.9A-105\/#c2\"><i class=\"fa fa-link\"><\/i><\/a><\/p><\/section>\n\t\t\t\t\t\t<section id=\"c3\" class=\"indent-1\"><p><span class=\"prefix-number\">3.<\/span> gives the purchaser exclusive power, subject to subsection (d), to: <a id=\"paragraph-303296\" class=\"section-permalink\" href=\"https:\/\/vacode.org\/8.9A-105\/#c3\"><i class=\"fa fa-link\"><\/i><\/a><\/p><\/section>\n\t\t\t\t\t\t<section id=\"A\"><p><span class=\"prefix-number\">A.<\/span> prevent others from adding or changing an identified assignee of the authoritative electronic copy; and <a id=\"paragraph-303297\" class=\"section-permalink\" href=\"https:\/\/vacode.org\/8.9A-105\/#A\"><i class=\"fa fa-link\"><\/i><\/a><\/p><\/section>\n\t\t\t\t\t\t<section id=\"B\"><p><span class=\"prefix-number\">B.<\/span> transfer control of the authoritative electronic copy. <a id=\"paragraph-303298\" class=\"section-permalink\" href=\"https:\/\/vacode.org\/8.9A-105\/#B\"><i class=\"fa fa-link\"><\/i><\/a><\/p><\/section>\n\t\t\t\t\t\t<section id=\"d\"><p><span class=\"prefix-number\">d.<\/span> Meaning of exclusive. Subject to subsection (e), a power is exclusive under subsection (c)(3)(A) and (B) even if: <a id=\"paragraph-303299\" class=\"section-permalink\" href=\"https:\/\/vacode.org\/8.9A-105\/#d\"><i class=\"fa fa-link\"><\/i><\/a><\/p><\/section>\n\t\t\t\t\t\t<section id=\"d1\" class=\"indent-1\"><p><span class=\"prefix-number\">1.<\/span> the authoritative electronic copy, a record attached to or logically associated with the authoritative electronic copy, or a system in which the authoritative electronic copy is recorded limits the use of the authoritative electronic copy or has a protocol programmed to cause a change, including a transfer or loss of control; or <a id=\"paragraph-303300\" class=\"section-permalink\" href=\"https:\/\/vacode.org\/8.9A-105\/#d1\"><i class=\"fa fa-link\"><\/i><\/a><\/p><\/section>\n\t\t\t\t\t\t<section id=\"d2\" class=\"indent-1\"><p><span class=\"prefix-number\">2.<\/span> the power is shared with another person. <a id=\"paragraph-303301\" class=\"section-permalink\" href=\"https:\/\/vacode.org\/8.9A-105\/#d2\"><i class=\"fa fa-link\"><\/i><\/a><\/p><\/section>\n\t\t\t\t\t\t<section id=\"e\"><p><span class=\"prefix-number\">e.<\/span> When power not shared with another person. A power of a purchaser is not shared with another person under subsection (d)(2) and the purchaser&#8217;s power is not exclusive if: <a id=\"paragraph-303302\" class=\"section-permalink\" href=\"https:\/\/vacode.org\/8.9A-105\/#e\"><i class=\"fa fa-link\"><\/i><\/a><\/p><\/section>\n\t\t\t\t\t\t<section id=\"e1\" class=\"indent-1\"><p><span class=\"prefix-number\">1.<\/span> the purchaser can exercise the power only if the power also is exercised by the other person; and <a id=\"paragraph-303303\" class=\"section-permalink\" href=\"https:\/\/vacode.org\/8.9A-105\/#e1\"><i class=\"fa fa-link\"><\/i><\/a><\/p><\/section>\n\t\t\t\t\t\t<section id=\"e2\" class=\"indent-1\"><p><span class=\"prefix-number\">2.<\/span> the other person: <a id=\"paragraph-303304\" class=\"section-permalink\" href=\"https:\/\/vacode.org\/8.9A-105\/#e2\"><i class=\"fa fa-link\"><\/i><\/a><\/p><\/section>\n\t\t\t\t\t\t<section id=\"A\"><p><span class=\"prefix-number\">A.<\/span> can exercise the power without exercise of the power by the purchaser; or <a id=\"paragraph-303305\" class=\"section-permalink\" href=\"https:\/\/vacode.org\/8.9A-105\/#A\"><i class=\"fa fa-link\"><\/i><\/a><\/p><\/section>\n\t\t\t\t\t\t<section id=\"B\"><p><span class=\"prefix-number\">B.<\/span> is the transferor to the purchaser of an interest in the chattel paper. <a id=\"paragraph-303306\" class=\"section-permalink\" href=\"https:\/\/vacode.org\/8.9A-105\/#B\"><i class=\"fa fa-link\"><\/i><\/a><\/p><\/section>\n\t\t\t\t\t\t<section id=\"f\"><p><span class=\"prefix-number\">f.<\/span> <span class=\"dictionary\">Presumption<\/span> of exclusivity of certain powers. If a purchaser has the powers specified in subsection (c)(3)(A) and (B), the powers are presumed to be exclusive. <a id=\"paragraph-303307\" class=\"section-permalink\" href=\"https:\/\/vacode.org\/8.9A-105\/#f\"><i class=\"fa fa-link\"><\/i><\/a><\/p><\/section>\n\t\t\t\t\t\t<section id=\"g\"><p><span class=\"prefix-number\">g.<\/span> Obtaining control through another person. A secured party has control of an authoritative electronic copy of a\nrecord evidencing chattel paper if a system employed for evidencing the\nassignment of interests in the chattel paper reliably establishes the purchaser\nas the person to which the authoritative electronic copy was assigned.\n\nb. Single authoritative copy. A system satisfies subsection (a) if the record or\nrecords evidencing the chattel paper are created, stored, and assigned in a\nmanner that:\n\n   1. a single authoritative copy of the record or records exists which is\n   unique, identifiable, and, except as otherwise provided in paragraphs (4),\n   (5), and (6), unalterable;\n\n   2. the authoritative copy identifies the purchaser as the assignee of the\n   record or records;\n\n   3. the authoritative copy is communicated to and maintained by the purchaser\n   or its designated custodian;\n\n   4. copies or amendments that add or change an identified assignee of the\n   authoritative copy can be made only with the consent of the purchaser;\n\n   5. each copy of the authoritative copy and any copy of a copy is readily\n   identifiable as a copy that is not the authoritative copy; and\n\n   6. any amendment of the authoritative copy is readily identifiable as\n   authorized or unauthorized.\n\nc. One or more authoritative copies.
