The local <span class=\"dictionary\">law<\/span> of the <span class=\"dictionary\">jurisdiction<\/span> in which the debtor is located governs: <a id=\"paragraph-283196\" class=\"section-permalink\" href=\"https:\/\/vacode.org\/8.9A-305\/#c\"><i class=\"fa fa-link\"><\/i><\/a><\/p><\/section>\n\t\t\t\t\t\t<section id=\"c1\" class=\"indent-1\"><p><span class=\"prefix-number\">1.<\/span> perfection of a security interest in investment property by filing; <a id=\"paragraph-283197\" class=\"section-permalink\" href=\"https:\/\/vacode.org\/8.9A-305\/#c1\"><i class=\"fa fa-link\"><\/i><\/a><\/p><\/section>\n\t\t\t\t\t\t<section id=\"c2\" class=\"indent-1\"><p><span class=\"prefix-number\">2.<\/span> automatic perfection of a security interest in investment property created by a broker or securities intermediary; and <a id=\"paragraph-283198\" class=\"section-permalink\" href=\"https:\/\/vacode.org\/8.9A-305\/#c2\"><i class=\"fa fa-link\"><\/i><\/a><\/p><\/section>\n\t\t\t\t\t\t<section id=\"c3\" class=\"indent-1\"><p><span class=\"prefix-number\">3.<\/span> automatic perfection of a security interest in a commodity <span class=\"dictionary\">contract<\/span> or commodity account created by a commodity intermediary. <a id=\"paragraph-283199\" class=\"section-permalink\" href=\"https:\/\/vacode.org\/8.9A-305\/#c3\"><i class=\"fa fa-link\"><\/i><\/a><\/p><\/section>","plain_text":"                                 CODE OF VIRGINIA\n\nLAW GOVERNING PERFECTION AND PRIORITY OF SECURITY INTERESTS IN INVESTMENT\nPROPERTY (\u00a7 8.9A-305)\n\na. Governing law; general rules. Except as otherwise provided in subsection (c),\nthe following rules apply:\n\n   1. While a security certificate is located in a jurisdiction, the local law of\n   that jurisdiction governs perfection, the effect of perfection or\n   nonperfection, and the priority of a security interest in the certificated\n   security represented thereby.\n\n   2. The local law of the issuer&#8217;s jurisdiction as specified in &#xA7;\n   8.8A-110 (d) governs perfection, the effect of perfection or nonperfection,\n   and the priority of a security interest in an uncertificated security.\n\n   3. The local law of the securities intermediary&#8217;s jurisdiction as\n   specified in &#xA7; 8.8A-110 (e) governs perfection, the effect of perfection\n   or nonperfection, and the priority of a security interest in a security\n   entitlement or securities account.\n\n   4. The local law of the commodity intermediary&#8217;s jurisdiction governs\n   perfection, the effect of perfection or nonperfection, and the priority of a\n   security interest in a commodity contract or commodity account.\n\n   5. Paragraphs (2), (3), and (4) apply even if the transaction does not bear\n   any relation to the jurisdiction.\n\nb. Commodity intermediary&#8217;s jurisdiction. The following rules determine a\ncommodity intermediary&#8217;s jurisdiction for purposes of this part:\n\n   1. If an agreement between the commodity intermediary and commodity customer\n   governing the commodity account expressly provides that a particular\n   jurisdiction is the commodity intermediary&#8217;s jurisdiction for purposes\n   of this part, this title, or the Uniform Commercial Code, that jurisdiction is\n   the commodity intermediary&#8217;s jurisdiction.\n\n   2. If paragraph (1) does not apply and an agreement between the commodity\n   intermediary and commodity customer governing the commodity account expressly\n   provides that the agreement is governed by the law of a particular\n   jurisdiction, that jurisdiction is the commodity intermediary&#8217;s\n   jurisdiction.\n\n   3. If neither paragraph (1) nor paragraph (2) applies and an agreement between\n   the commodity intermediary and commodity customer governing the commodity\n   account expressly provides that the commodity account is maintained at an\n   office in a particular jurisdiction, that jurisdiction is the commodity\n   intermediary&#8217;s jurisdiction.\n\n   4. If none of the preceding paragraphs applies, the commodity\n   intermediary&#8217;s jurisdiction is the jurisdiction in which the office\n   identified in an account statement as the office serving the commodity\n   customer&#8217;s account is located.\n\n   5. If none of the preceding paragraphs applies, the commodity\n   intermediary&#8217;s jurisdiction is the jurisdiction in which the chief\n   executive office of the commodity intermediary is located.\n\nc. When perfection governed by law of jurisdiction where debtor located.
