AMENDMENT OF ARTICLES OF INCORPORATION BY INCORPORATORS (§ 13.1-709)

If a corporation has not yet issued shares and it has no board of directors, its
incorporators may adopt one or more amendments of the corporation’s
articles of incorporation.
