						<section id="A"><p><span class="prefix-number">A.</span> At each meeting of <span class="dictionary">members</span>, a chairman shall preside. The chairman shall be appointed as provided in the <span class="dictionary">articles of incorporation</span>, bylaws, or, in the absence of such a provision, by the <span class="dictionary">board of directors</span>. <a id="paragraph-280286" class="section-permalink" href="https://vacode.org/13.1-844.1/#A"><i class="fa fa-link"/></a></p></section>
						<section id="B"><p><span class="prefix-number">B.</span> Unless the <span class="dictionary">articles of incorporation</span> or bylaws provide otherwise, the chairman shall determine the <span class="dictionary">order</span> of business and shall have the authority to establish rules for the conduct of the meeting. <a id="paragraph-280287" class="section-permalink" href="https://vacode.org/13.1-844.1/#B"><i class="fa fa-link"/></a></p></section>
						<section id="C"><p><span class="prefix-number">C.</span> The chairman of the meeting shall announce at the meeting when the polls will open and close for each matter voted upon.
