WAIVER PROHIBITED; CONFLICTS OF LAWS (§ 4.1-416)

A. No winery shall require any wholesaler to waive compliance with any provision
of this chapter. Any contract or agreement purporting to do so is void and
unenforceable to the extent of the waiver or variance. Nothing in this chapter
shall limit or prohibit good faith settlements of disputes voluntarily entered
into between the parties.

B. Any contract between a winery and a wine wholesaler pursuant to which the
wholesaler is to market the winery&#8217;s products in the Commonwealth shall be
governed by the laws of the Commonwealth as the place of performance,
notwithstanding the fact that such contract may have been made in another state
or the fact that such contract may provide that it is to be governed by the laws
of another state.
